How to obtain a South Dakota Good Standing

There are many situations in which you may require a document called a Certificate of Good Standing. This document is also often used to formally prove that a company is officially registered to do business in the state of South Dakota. It may be used to prove that a business has been dissolved, that a business has been suspended, or that a business is compliant with (applicable) South Dakota state requirements as well.

The Secretary of State of South Dakota issues Certificates of Good Standing. You’ll need to submit a records order to the office of the Secretary of State in order to obtain this document. The SOS will issue the document bearing the SOS’s authorized signature as well as the seal of the state of South Dakota.

Getting certified information from registered companies that you don't actually own is also possible in South Dakota. For instance, you can obtain certified documents such as articles of formation, original registrations for companies that are from out-of-state, conversion, and amendments for any entity registered in the state of South Dakota.

If you'd like to obtain a Certificate of Good Standing quickly, you can get your document by the next business day with SunDoc expedited requests. Find information about records request forms and required document fees on the official website of the state of South Dakota. When Do You Need A Certificate Of Good Standing?

You may need a Certificate of Good Standing if you're involved in a merger or acquisition, or if you're buying a company outright, or selling yours. The Good Standing certification will form part of the legal documentation of the entity.

Most of the time, if you apply for a line of credit such as a business loan, you will need a Certificate of Good Standing. Some licensing requirements may also demand this document. Additionally, certain tax matters may necessitate certified states. Keep in mind that you can owe taxes and still be in good standing with South Dakota, you just can't be out of compliance with any of the tax process.

Lastly, if you plan to have your company do business in a state other than South Dakota, you may also need to show certified status (if you need help with foreign qualification, SunDoc can assist you).

It is up to you to follow the full requirements of the documentation you need. For instance, you will need to know if your state requires that Certificates of Good Standing be no older than 60 or 30 days.

Certificate Of Good Standing Or Certificate Of Status?

The Certificate of Good Standing in other jurisdictions may also be referred to as a Certificate of Status or of Existence. In South Dakota, it shows that an entity is registered to do business in the state, is in compliance with applicable corporate rules and licensing requirements, and has not been suspended by the state taxing authority, the Franchise Tax Board.

How To Get Your Good Standing Certificate

You can order by mail or personally through the Secretary of State office.

If you present your request in person at the Secretary of State’s office, keep in mind that your order will be processed faster (generally, in two business days). On the other hand, it will take about 5 to 15 business days for requests that you mail in. Rush service is also available for Good Standing requests in the state of South Dakota.
