How to obtain a Oregon Good Standing
Often, businesses in the state of Oregon require a document called a Certificate of Existence for legal and business reasons. For instance, you may require this document for your company if you need to show that you're officially registered to conduct business in Oregon or that you are compliant with Oregon state laws and requirements. It's even possible that you'll need the document to show that your company was suspended or dissolved.
The Certificate of Existence document itself will feature an authorized signature from the Oregon Secretary of State. It will also bear the official seal of Oregon. In order to obtain the certificate, a records order must be submitted to the Secretary of State's office. For this records request form (and others) as well as information about fees, you can go here. Records research can be conducted on the Oregon online business searchsite.
In some cases, individuals or companies may require records from companies they don't own or aren't involved with. You are legally allowed to obtain a certified collection of filings for any registered business in the state of Oregon, which includes documents such as original registration forms if the company is from out of state, amendments, and original articles of formation.
Do you need your Certificate of Existence quickly? Contact SunDoc and we can expedite your request.
When Do You Need A Certificate Of Good Standing?
Many situations require a Certificate of Existence in the state of Oregon. You will need this certification:
- For numerous tax matters
- For specific licensing requirements
- To show that you can legally conduct business in the state of Oregon
- When you are buying a business
- When you are selling a business
- When you're involved in acquisition
- When you are involved in a merger
- When you want to register to do business in another state
Remember that if you're going to register to business in another state, SunDoc Filings can help with foreign qualification. Also keep in mind that it is possible to be in good standing with the state of Oregon when you still owe taxes to the state, but you cannot be noncompliant with the actual tax process.
You will have to determine your full documentation requirements, including expirations. Some states for example require certified status to be less than 30 days old, while some allow 60 days.
Certificate Of Good Standing Or Certificate Of Existence?
The Certificate of Existence in other jurisdictions may also be referred to as a Certificate of Status or of Good Standing. In Oregon, it shows that an entity is registered to do business in the state, is in compliance with applicable corporate rules and licensing requirements, and has not been suspended by the state taxing authority, the Franchise Tax Board.
How To Get Your Certificate Of Existence
Currently Oregon doesn’t offer a way to order a Certificate of Existence electronically. You can only order by mail or personally through the Secretary of State’s office.
Requests presented in person can generally be processed by the second business day, while mailed-in requests take 5-15 business days. Oregon does offer a Rush service for Good Standing requests.
SunDoc filings can handle all of your company filings, including your Good Standing request. We do this by going in person to the Secretary of State office every day, whereas other companies simply mail in their filings. At the SOS office, we hand-deliver or pick up our documents. We’ll do this with any and all routine filings you may require, saving you valuable time.
