How to obtain a Ohio Good Standing

Is your company registered to do business in Ohio State? If so, there are several circumstances in which you may need to formally prove this fact. If you need to prove that your business can conduct business in the State of Ohio or if you need to show that your business is currently in compliance with Ohio State requirements, you need is Certificate of Good Standing.

This document can be obtained from the Secretary of State’s office in Ohio State. You’ll need to submit a records order to obtain it, and once you do, you’ll find the authorized signature of the Secretary of State as well as the official seal of the state of Ohio on the document.

A similar status request will certify other situations as well. For example, you can request certified information on a company that you don’t own, including a certified collection of all the filings that are currently on record, like the original registration or the original articles of formation. A similar status request can also certify that your company has been dissolved or suspended.

Do your research with Ohio’s online business search. Head to the Ohio website to get more information about required frees and forms for requesting records.

Finally, keep in mind that SunDoc can always speed up your request for next business day delivery, if required.

When Do You Need A Certificate Of Good Standing?

Of all the legal documents pertaining to your business, the Certificate of Good Standing may be the most important. In the following paragraphs, we will outline the scenarios in which you will likely need this document.

First, if you’re planning to sell your company, buy a new company outright, participate in a merger, or participate in an acquisition, you’ll need to have a Certificate of Good Standing. This will be an essential certification for your legal documentation during these processes.

Next, if you plan on opening a line of credit, plan to have a Certificate of Good Standing on-hand as well.

Foreign qualification will also necessitate a Certificate of Good Standing, and SunDoc would be happy to assist you with this filing process. Additionally, you may need a certificate for some specific licensing requirements, and you may need one for tax matters as well. In terms of your taxes, remember that you can be in good standing even if you owe taxes in Ohio, but you have to abide by the tax process or you won’t be in good standing.

Certificate Of Good Standing Or Certificate Of Status?

The Certificate of Good Standing in other jurisdictions may also be referred to as a Certificate of Status or of Existence. In Ohio, it shows that an entity is registered to do business in the state, is in compliance with applicable corporate rules and licensing requirements, and has not been suspended by the state taxing authority, the Franchise Tax Board.

How To Get Your Good Standing Certificate
