How to obtain a Mississippi Good Standing
By submitting a records request form to the Secretary of State of Mississippi, you can obtain an important document called a Certificate of Good Standing.
Most of all, the Certificate of Good Standing document shows that your company registered to conduct business in the state of Mississippi. However, it can be used for other business and legal reasons as well. For example, it can show that your company was dissolved or suspended in the past or that your business is officially in compliance with state requirements in Mississippi.
It is also possible to obtain documents (such as a certified collection of record filings) for businesses that you don't actually own. This collection might include documents such as amendments, registration forms if the company is from out of state, conversion, and articles of formation.
You can go to the state’s website to find out more about fees associated with the Certificate of Good Standing and forms for making records requests. Additionally, you can go to the online business search site of the state of Mississippi website in order to conduct your own records research.
Once you've obtained your Certificate of Good Standing, it will feature an authorized Secretary of State signature and a state seal.
SunDoc is happy to expedite your request should you require a next business day turnaround for your Certificate of Good Standing.
When Do You Need A Certificate Of Good Standing?
You may need a Certificate of Good Standing if you're involved in a merger or acquisition, or if you're buying a company outright, or selling yours. The Good Standing certification will form part of the legal documentation of the entity.
Often, if you need to apply for a line of credit or a business loan, you will need a Certificate of Good Standing. You may also need this document for tax reasons. It's important to note here that if you still owe taxes, this doesn't mean you cannot be in good standing with the state of Mississippi at the same time. The important thing is that you are not out of compliance with the state’s tax process. Licensing requirements may demand the Good Standing Certificate as well.
Finally, another common need for a Certificate of Good Standing is to register to conduct business in a state other than Mississippi (learn more about how SunDoc Filings helps with foreign qualification).
You must determine your full documentation requirements, including expirations. Certain states mandate that your document be less than 30 or 60 days old.
Certificate Of Good Standing Or Certificate Of Status?
The Certificate of Good Standing in other jurisdictions may also be referred to as a Certificate of Status or of Existence. In Mississippi, it shows that an entity is registered to do business in the state, is in compliance with applicable corporate rules and licensing requirements, and has not been suspended by the state taxing authority, the Franchise Tax Board.
How To Get Your Good Standing Certificate
You can only order by mail or personally through the Secretary of State’s office.
Requests presented in person can generally be processed by the second business day, while mailed-in requests take 5-15 business days. Mississippi does offer a Rush service for Good Standing requests.
Allow SunDoc to handle your Good Standing Certificate request. In fact, we can handle all of your company’s filing requests. We do this by going in person to the Secretary of State office every day, whereas other companies simply mail in their filings. At the SOS office, we hand-deliver or pick up our documents. We’ll do this with any and all routine filings you may require, saving you valuable time.
