How to obtain a Idaho Good Standing
You may obtain a Certificate of Good Standing document for your entity in the state of Idaho at any time. This document is often needed to show compliance with applicable state requirements or to prove that you are registered to do business in the state of Idaho. At times, it can be shown to prove that a company has been suspended or dissolved.
To obtain a Certificate of Good Standing, you should submit a records order to the Secretary of State office. Information about fees and records request forms can be found online and you can also research records by using Idaho’s online business search. You will receive your Certificate of Good Standing with an authorized signature from the Secretary of State and an official State of Idaho seal.
Keep in mind that it is possible to get certified information on businesses than are not your own as well. Documents that are filed and on-record can be obtained in a certified collection for any entity. These documents may include amendments, articles of formation, registration forms, and conversion forms.
If you need your Idaho certified status right away (such as the next business day), allow SunDoc to expedite your request.
When Do You Need A Certificate Of Good Standing?
Your Good Standing certification will be an important part of the legal documentation you have for your Idaho entity. Certificates of Good Standing are often needed for buying companies outright, selling your own company, and for mergers and acquisitions.
Other licensing requirements and tax matters may also require a Certificate of Good Standing. Note that you must be compliant with the tax process in the state of Idaho, but even if you owe taxes, you can still be considered in good standing with the state.
Another frequent need for a Certificate of Good Standing is to register to do business in another state (see how SunDoc Filings can help you with foreign qualification). You will have to determine your full documentation requirements, including expirations. Some states for example require certified status to be less than 30 days old, while some allow 60 days.
Certificate Of Good Standing Or Certificate Of Status?
The Certificate of Good Standing in other jurisdictions may also be referred to as a Certificate of Status or of Existence. In Idaho, it shows that an entity is registered to do business in the state, is in compliance with applicable corporate rules and licensing requirements, and has not been suspended by the state taxing authority, the Franchise Tax Board.
How To Get Your Good Standing Certificate
Right now, you can only order a Certificate of Good Standing personally at the Secretary of State office or through the mail; electronic requests in Idaho are not possible at this time.
If you present your request in person, the process generally takes about two business days including the state’s fee. On the other hand, mailed-in requests take longer at a typical 5 to 15 business day timeframe. If you require rush service for your Certificate of Good Standing request, Idaho does offer this service.
SunDoc Filings can handle your Good Standing request, as with all of your company filings. We make visits daily to the Secretary of State office, to hand-deliver or receive documents. All of our routine filings on your behalf are expedited in this way, saving valuable time over other companies that typically mail in forms.
