How to obtain a Kentucky Good Standing
For many reasons, you might need a Certificate of Existence from the Kentucky Secretary of State. With such a certificate, you can prove that your company is officially registered to conduct business in Kentucky State. The certificate can also prove that you and your business are in compliance with Kentucky state laws and requirements.
It is quite simple to obtain a Certificate of Existence in the state of Kentucky. You must first submit a records order to a local Kentucky Secretary of State office. Once you’ve done this, you’ll receive the certificate. It will feature a state authorized signature and the seal of Kentucky.
If you must prove that you’ve dissolved your company or suspended it, you can follow the same status request process. If you’re looking for certified official information on a company that you don’t own, it is again the same status request. You can even look up things like original registrations, articles of formation, conversion, amendments, and more.
Go to Kentucky’s online business search to do your records research. Also, the official website of Kentucky will give you fee and records-request form information. To obtain next business day delivery on your request, SunDoc can also expedite your order.
When Do You Need A Certificate Of Existence?
You may need a Certificate of Existence if you're involved in a merger or acquisition, or if you're buying a company outright, or selling yours. The Certificate of Existence will form part of the legal documentation of the entity.
Typically, applying for a business loan or line of credit will require good standing certification. Tax matters also can require it - note that you can owe taxes and still be in good standing with Kentucky, you just can't be out of compliance with any of the tax process. Certain licensing requirements may also ask for Certificate of Existence.
Finally, another common need for a Certificate of Existence is to register to conduct business in another state (SunDoc can help with this — it’s called foreign qualification).
It’s important to know your complete documentation requirements, including expirations. Certain entities require receiving a certificate that is no more than 30 or 60 days old.
Certificate Of Good Standing Or Certificate Of Status?
In Kentucky, the Certificate of Existence:
- Certifies that your business hasn’t been suspended by the state taxing authority of Kentucky - the Franchise Tax Board
- Certifies that your business is compliant with all applicable corporate rules and licensing requirements in Kentucky
- Certifies that your business is registered to legally conduct business in Kentucky state
Remember that in other jurisdictions, a Certificate of Existence might be called a Certificate of Good Standing or a Certificate of Status.
How To Get Your Certificate Of Existence
Currently Kentucky doesn’t offer a way to order a Certificate of Existence electronically. You can only order by mail or personally through the Secretary of State office.
Requests presented in person can generally be processed by the second business day, while mailed-in requests take 5-15 business days. Kentucky does offer a Rush service for Good Standing requests.
SunDoc will handle your filing in an expedited manner every time — just as we do with all filings. We do this by going in person to the Secretary of State office every day, whereas other companies simply mail in their filings. At the SOS office, we hand-deliver or pick up our documents. We’ll do this with any and all routine filings you may require, saving you valuable time.
