How to obtain a Alaska Good Standing

Businesses in the state of Alaska may require a document referred to as a Certificate of Good Standing. This certificate is issued by the Secretary of State of Alaska and can formally prove or show many things. For example, a Certificate of Good Standing can show that your company is in current compliance with all Alaska state requirements, that your company was previously suspended or dissolved, or, most commonly, that your company is officially registered to do business in Alaska.

Once you receive your Certificate of Good Standing, you will see that it bears the seal of Alaska as well as an authorized signature from the Secretary of State. To obtain this document, the SOS needs to receive a records order from you.

You can conduct records research in the State of Alaska with their online business search. It is possible to obtain certified information for businesses that are your own as well as businesses that you don't own. You may obtain documents such as amendments, original registrations, conversion, original Articles of Formation, and more. These often come in a certified collection of on-record filings.

SunDoc is happy to expedite your Certificate of Good Standing request if you require it by the next business day. You can find information about fees and records request forms on the State of Alaska website.

When Do You Need A Certificate Of Good Standing?

You may need a Certificate of Good Standing if you're involved in a merger or acquisition, or if you're buying a company outright, or selling yours. The Good Standing certification will form part of the legal documentation of the entity.

Typically, applying for a business loan or line of credit will require good standing certification. Tax matters also can require it - note that you can owe taxes and still be in good standing with Alaska, you just can't be out of compliance with any of the tax process. Certain licensing requirements may also ask for good standing certification.

Another frequent need for a Certificate of Good Standing is to register to do business in another state (see how SunDoc Filings can help you with foreign qualification). You will have to determine your full documentation requirements, including expirations. Some states for example require certified status to be less than 30 days old, while some allow 60 days.

Certificate Of Good Standing Or Certificate Of Status?

The Certificate of Good Standing in other jurisdictions may also be referred to as a Certificate of Status or of Existence. In Alaska, it shows that an entity is registered to do business in the state, is in compliance with applicable corporate rules and licensing requirements, and has not been suspended by the state taxing authority, the Franchise Tax Board.

How To Get Your Good Standing Certificate

You can order it personally at the SOS office or by mail.

If you order it in person by going into the Secretary of State office, you can expect your certificate within two business days. If you mail your request, it will take approximately 5 to 15 business days. Rush orders are available for Certificates of Good Standing in the state of Alaska.
