Wyoming Corporate Formation Guidelines 

 

Corporate Name

It may not contain a word or phrase which indicates or implies that it is organized for a purpose other than one (1) or more of the purposes contained in its articles of organization; it may not be the same as, or is deceptively similar to, the name of a limited liability company or corporation existing under the laws of this state or a foreign corporation authorized to transact business in this state, or a name the exclusive right to which is, at the time, reserved in the manner provided under the laws of Wyoming. An available name may be reserved for a non renewable 120-day period.

 

Organizers

The limited liability company can be formed by any one (1) or more persons.

 

Purpose 

Corporations may be organized under the laws of Wyoming for any lawful purpose.

 

Duration

A period of duration must be set forth in the formation documents. If no period is set forth, the duration will be 30 years.

 

Registered Agent & Registered Office

The limited liability company must maintain a registered agent and office to receive service of process in Wyoming. All Wyoming domestic corporations must maintain at their Wyoming Registered Office, current dated within 60 days until the entities first Wyoming Annual Report is filed, a list of all directors and officers or persons serving in a similar capacity and respective addresses. A current list MUST be supplied to the registered agent at the time of filing the Articles of Incorporation. Any change in the officers and/or directors during the first year must be supplied to the Wyoming Registered Agent within 60 days of the date of change.

 

Filing Procedures

Submit to the Secretary of State: One (1) executed original and one (1) conformed copy of Articles of Incorporation; and the Written Consent to Appointment executed by the Registered Agent. The Secretary of State returns a “File” stamped conformed copy with a Certificate of Organization

 

Ongoing Requirements

Annual Reports are due the first day of the entity's anniversary month on an annual basis.  These may be filed online. If you fail to file, there are no late fees, but you will go into Tax delinquent status. You will then have 60 days to file the report. Beyond that, there is a $50 reinstatement fee. The Wyoming Secretary of State will mail you a reminder to the mailing address on file, but you should calendar all of your annual reports for all entities.  We can help you with our calendaring tool if we act as your registered agent.
