Your filing is now on its way! If we receive your Washington LLC's Articles of Organization by noon M-F, your filing will be submitted the same day it was received. The date submitted will become the file date of your new entity. The Secretary of State office will take at a few weeks to process routine orders. Keep in mind that if you mail the document to the state yourself, like many filing services do, you will have to wait SEVERAL MONTHS. When the state is approves your document, they will issue a state entity number and a certified copy We will immediately fax or email the filed document to you. We will return the certified copy via regular mail. FedEx is available for an additional fee.
Your Post-Filing Responsibilities
File a Statement of Information: After the Articles of Organization are filed, the Secretary of State requires that you file a Statement of Information. This includes the business address of the entity, the names and addresses of the members, the agent for service of process, and a brief description of the business. Add this to your order and we will file it for you.
Employer Identification Number: If you would like, we can obtain your EIN for your new Washington LLC. Simply add it to your order or fill out our online EIN order form and we will obtain the EIN within 24-48 hours.

Washington LLC Formation Guidelines
The Name of a Limited Liability Company must contain the words “Limited Liability Company,” “Limited Liability” and abbreviation “Co.,” or the abbreviation “L.L.C.” or “LLC.” To reduce the chance of rejection, we recommend the name be checked and reserved prior to filing. An available name may be reserved for a 180-day period.
Organizers / Members
The limited liability company can be formed by one (1) or more persons and can have one or more original members.
The period of duration of a limited liability company extends from the filing date of the Certificate of Formation until the latest date specified in the Articles of Organization for the company’s dissolution.
The members of an LLC may adopt and maintain a separate operating agreement outlining the procedures and general day-to-day guidelines. The agreement may contain any provisions regarding the affairs and conduct of the business of the company to the extent such provisions are not inconsistent with the laws of the Washington or the Certificate of Formation.
Record Keeping Requirements
The limited liability company must maintain an office, which may be but need not be a place of its business in Washington or its registered office, where its records will be kept.

The limited liability company must maintain a registered agent and office to receive service of process in Washington.
Submit to the Secretary of State an executed original and one conformed copy of the Certificate of Formation. Please note the designated registered agent must consent in writing to his/her/its designation in the Certificate of Formation. Submit to the Secretary of State within 120 days after the filing of the Certificate of Formation the initial Annual Report.
Ongoing Requirements - All corporations and Limited Liability Companies must file a renewal or annual report annually. Business Licensing Service will send a renewal notice to the licensees’ registered agents approximately 45 days before their license expires. It’s the licensee’s responsibility to renew on time, whether they receive the renewal form or not. The Corporation or Limited Liability Company (LLC) renewal is provided by the Business Licensing Service.
The Corporation or Limited Liability Company (LLC) renewal is provided by the Department of Licensing for the Secretary of State - this does NOT renew your business application license with the Department of Licensing; that is a separate license renewal.
