Vermont LLC Formation Guidelines
LIMITED LIABILITY COMPANY NAME
The Limited Liability Company must contain the words must contain the words “limited liability company” or “limited company” or the abbreviation “L.L.C.”, “LLC”, “L.C.” or “LC” . The word “limited” may be abbreviated as “Ltd.” and “company” may be abbreviated as “Co.,” respectively. An available name may be reserved for a 120-day period.
ORGANIZERS / MEMBERS
The limited liability company can be formed by any one (1)or more persons. The limited liability company can be formed with one (1)or more members.
A limited liability company is an “At-Will Company” unless in the Articles of Organization sets forth a specific term of duration.
The members of a limited liability company may adopt and maintain a separate operating agreement. The agreement may contain any provisions regarding the affairs and conduct of the business of the company to the extent such provisions are not inconsistent with the laws of the Vermont or the Articles of Organization.
PROCESS AGENT AND OFFICE
The limited liability company must maintain a process agent and office to receive service of process in Vermont.
Submit to the Secretary of State two (2) executed originals of the Articles of Organization. The Secretary of State returns one (1) copy “File” stamped as evidence of filing.
Annual Report – It must be filed with the Secretary of State within 2½ months after the expiration of the Limited Liability Company's fiscal year. Therefore, it is possible that an Annual Report may be due within the first calendar year of the Limited Liability Company's Registration. The Secretary of State has determined that an Annual Report must be filed in the first calendar year if the due date falls between the date of Registration and the end of the first calendar year.
The Vermont annual report will be mailed to your Vermont registered agent. If we are your agent, we will automatically send you a reminder email that your report is due. Anyone in your organization with proper authority can file but if you are mailing, it must contain original signatures. Vermont also has an online option.
Income tax rates are: 7% on Vermont net income of $10,000 or less; $700 plus 8.10% of excess over $10,000 for net income between $10,001 and $25,000; $1,915 plus 9.20% of excess over $25,000 for net income between $25,001 and $250,000; and $22,615 plus 9.75% of excess over $250,000.
