File a Statement of Information: After the Articles of Organization are filed, the Secretary of State requires that you file a Statement of Information. The Statement of Information, includes the business and mailing address of the entity, the names and addresses of the members, the agent for service of process, and a brief description of the business. When we send you the certified (filed) copy of the Articles of Organization, we will include a Statement of Information form. Add this to your order if you would like us to file it for you.

North Carolina LLC Formation Guidelines
LIMITED LIABILITY COMPANY NAME
A name for the limited liability company must contain the words "limited liability company" or the abbreviation "L.L.C." or "LLC", or the combination "ltd. liability co." or "ltd. liability company"; it may not contain language stating or implying that the limited liability company is organized for a purpose other than one permitted by the laws of North Carolina and its articles of organization; and it must be distinguishable upon the records of the Secretary of State from the name of any domestic or authorized foreign corporation, limited partnership, or limited liability company. An available name may be reserved for 120 days upon application the Secretary of State.
A limited liability company, unless a specific date of dissolution is set forth in the Articles of Organization, shall have no limited on its duration.
A limited liability company may be organized for the purpose of engaging in any lawful business unless a more limited purpose is set forth in the articles of organization.
The limited liability company can be formed by one (1) or more individuals.
Principal Office Address
If the limited liability company has a principal office, the Articles of Organization must identify the complete street address of that office, along with the county in which it is located. The Articles of Organization must also state the complete mailing address of the limited liability company if the mailing address is different from the street address.
REGISTERED AGENT AND REGISTERED OFFICE
The limited liability company must maintain a registered agent and office to receive service of process in North Carolina.
Submit to the Secretary of State one (1) executed original and one (1) conformed copy of the Articles of Organization. The Secretary of State returns one (1) “ File” stamped copy as evidence of filing.
Annual Report Requirements Each domestic limited liability company other than a professional limited liability company governed by N.C.G.S. §57C-2-01(c) and each foreign LLC authorized to transact business in this State, shall file an annual report with the Secretary of State office. Information contained in the annual report must be current as of the date the annual report is executed on behalf of the limited liability company.
Annual Report Due Date The first annual report is due on April 15th of the year following the creation year and every year thereafter on or before April 15th. The annual report may either be filed electronically or a pre-populated annual report may be downloaded online and mailed to the NC Secretary of State’s Office.
