Your Post-Filing Responsibilities
File a Statement of Information: After the Articles of Organization are filed, the Secretary of State requires that you file a Statement of Information. The Statement of Information, includes the business and mailing address of the entity, the names and addresses of the members, the agent for service of process, and a brief description of the business. When we send you the certified (filed) copy of the Articles of Organization, we will include a Statement of Information form. Add this to your order if you would like us to file it for you.
Employer Identification Number: If you would like, we can obtain your EIN for your new Indiana LLC. Simply add it to your order or fill out our online EIN order form and we will obtain the EIN within 24-48 hours.

Indiana LLC Formation Guidelines
An LLC is a formal association which combines the advantage of a corporation's limited liability and the flexibility and single taxation of a general partnership. An LLC has members rather than shareholders. A member enjoys protections from the liabilities and debts of the LLC. Although not required by law, an LLC should operate under an Operating Agreement which is like a Partnership Agreement.
The name of the limited liability company must contain the words must contain the words "Limited Liability Company" or the abbreviation "L. L. C." or ALLC@ An available name may be reserved for a 120-day period.
Organizers / Members
The limited liability company can be formed by any one (1) organizer. The limited liability company can be formed with one (1)or more members.
The period of duration of a limited liability company extends from the filing of the Articles of Organization until the latest date specified in the Articles of Organization for the company=s dissolution; or, may perpetual until dissolution in accordance with the provisions of the Indiana Business Flexibility Act.
The limited liability company must maintain an office, which may be but need not be a place of its business in Indiana or its registered office, where its records will be kept.
The limited liability company must maintain a registered agent and office to receive service of process in Indiana.
The members of a limited liability company may adopt and maintain a separate operating agreement. The agreement may contain any provisions regarding the affairs and conduct of the business of the company to the extent such provisions are not inconsistent with the laws of Indiana or the Articles of Organization.
Submit to the Secretary of State one (1) executed original and one (1) conformed copy of the Articles of Organization. The Secretary of State returns one (1) copy file stamped as evidence of filing.
