We can have your documents filed and emailed to you once received from the Secretary of State. Documents must be received by 12 p.m. PST on the day of the filing. Please note that if any filing is rejected, the state fees are non-refundable. If you do not receive our email confirmation within one hour during normal business hours, please call us at 888-595-2747 to confirm your order.
Your filing is now on its way! If we receive your Alabama LLC’s Articles of Organization by noon PST M-F, your filing will be submitted the same day it was received. The date submitted will become the file date of your new entity. The Secretary of State office will take at a few weeks to process routine orders.
Keep in mind that if you mail the document to the state yourself, like many filings services do, you will have to wait SEVERAL MONTHS.
When the state is approves your document, they will issue a state entity number and a certified copy. We will immediately fax or email the filed document to you. We will return the two certified copies via regular mail. FedEx is available for an additional fee.
Your Post-Filing Responsibilities
File a Statement of Information: After the Articles of Organization are filed, the Secretary of State requires that you file a Statement of Information. The Statement of Information, includes the business and mailing address of the entity, the names and addresses of the members, the agent for service of process, and a brief description of the business. If you would like us to file the initial Statement of Information, please add it to your order.
Employer Identification Number: If you would like, we can obtain your EIN for your new company. Simply add it to your order or fill out our online EIN order form and we will obtain the EIN within 24-48 hours after your entity is filed.

Alabama LLC Formation Guidelines
The name must end with the words Limited Liability Company or the abbreviation L.L.C. or LLC. The name may not contain a word or phrase which indicates or implies that it is organized for a purpose other than one or more of the purposes contained in its articles of organization. There is no provision for reserving an available name.
Organizers / Members
The limited liability company can be formed by any one or more persons and with one or more members.
The members of a limited liability company may adopt and maintain a separate operating agreement. The agreement may contain any provisions regarding the affairs and conduct of the business of the company to the extent such provisions are not inconsistent with the laws of the Alabama or the Certificate of Formation.
Registered Agent & Registered Office
A limited liability company must maintain a registered agent and registered office to receive service of process in Alabama. Additionally Section 16, Act No. 93-724 of the 1993 Alabama Legislature requires that the limited liability company maintain certain records at it’s Registered Office. We will act as Registered Agent and Registered Office but the limited liability company must acknowledge that it is aware of the record keeping requirement by executing an affidavit to that effect.
Submit to the Probate Judge of the county in which the registered office is located for recording an executed original and two (2) copies of the Certificate of Formation. The certificate of formation must be signed by one or more members named therein or an organizer. The Probate Judge forwards a filed copy of the Certificate of Formation to the Secretary of State for filing. (NOT to be filed with Secretary of State). Submit Initial Business Privilege Tax Return (Annual Report) to the Department of Revenue within 2 ½ months of organization. Should you elect to do this yourself, the state filing fee is $100. Alabama requires most businesses to obtain a business license and pay a fee if operating in the state. Please check with the state to make sure your business is complying with the license requirements for your particular profession.
