How to obtain a Minnesota Good Standing

For a variety of business or legal reasons, many businesses in the state of Minnesota must prove that they are registered to conduct business within the state. This requires a document called a Certificate of Good Standing.

The Certificate of Good Standing is also useful to prove that a business is in compliance with all applicable state of Minnesota requirements. This document is issued formally by the Secretary of State's office after you submit the records order. The document you receive will feature an authorized Secretary of State signature as well as an imprint of the Minnesota state seal.

In some situations, a Good Standing Certificate may be useful to certify that your company was already dissolved or suspended in the past. In some cases, Certificates of Good Standing are requested for companies that are not your own. Certified documents such as original articles of formation, amendments, conversion, or provisional registrations may be obtained for any entity as long as they are on-record filings with the state.

To learn more about making records requests from the state of Minnesota and for information on fees and forms, go to the state website. You can also research records on your own with Minnesota’s business search tool online.

When Do You Need A Certificate Of Good Standing?

Good Standing Certificates generally form the legal documentation of a given entity. They are necessary for many reasons.

You may need one if you plan to sell your company or buy a company outright, for example. You may also need one when applying for a line of credit or business loan or when your company is involved in an acquisition or merger.

Sometimes, licensing requirements and tax matters may necessitate document as well. Keep in mind that you can still be in good standing with the state of Minnesota if you owe taxes. Still, you cannot be out of compliance with the tax process itself.

Another frequent need for a Certificate of Good Standing is to register to do business in another state (see how SunDoc Filings can help you with ). You will have to determine your full documentation requirements, including expirations. Some states for example require certified status to be less than 30 days old, while some allow 60 days.

Certificate Of Good Standing Or Certificate Of Status?

The Certificate of Good Standing in other jurisdictions may also be referred to as a Certificate of Status or of Existence. In Minnesota, it shows that an entity is registered to do business in the state, is in compliance with applicable corporate rules and licensing requirements, and has not been suspended by the state taxing authority.

How To Get Your Good Standing Certificate

In Minnesota, you can order your Certificate of Good Standing electronically. This is a service offered by select states. Other states require records requests by mail or in person.

When you request such a document in person, the processing time is by the second business day. Mailed-in requests will generally take 5 to 15 business days. Finally, rush services are available for Good Standing requests in Minnesota.
