The Secretary of State issues Good Standing Certificates (also known as Certificates of Existence). These documents are frequently required in order to renew business licenses, carry out loans, or fulfill other business and tax needs. These certificates certify that your business in Tennessee is legally in existence. They also authorize your business to legally transact business in Tennessee and certify that your business complies with necessary state requirements. All of this will designate your business as in “good standing.”

Steps to Qualifying a Tennessee Corporation in a Separate State
Those needing to foreign qualify a Tennessee corporation or LLC will generally require a Good Standing Certificate or a Certificate of Existence. Having one of these certificates will enable your corporation or LLC to be a "Foreign Corporation" in another state. All entities that are considered “foreign” in other states are required to apply for the authority to conduct business in that state. Keep in mind that all states have varied qualification guidelines for this. Still, nearly all states require a Good Standing Certificate from the home state. Also remember that other states may need both a long form and a short form Good Standing Certificate. Additionally in some states, it’s possible that they refer to Good Standing Certificates as a:

In Tennessee, the Secretary of State will not issue certificates of good standings for General Partnerships, reserved names, or registered names. They will only issue a certificate of good standing for Corporations, LLCs, and LPs.
