The Secretary of State issues Good Standing Certificates (also known as Certificates of Existence). These documents are frequently required in order to renew business licenses, carry out loans, or fulfill other business and tax needs. These certificates certify that your business in Tennessee is legally in existence. They also authorize your business to legally transact business in Tennessee and certify that your business complies with necessary state requirements. All of this will designate your business as in “good standing.”

Steps to Qualifying a Tennessee Corporation in a Separate State


Those needing to foreign qualify a Tennessee corporation or LLC will generally require a Good Standing Certificate or a Certificate of Existence. Having one of these certificates will enable your corporation or LLC to be a "Foreign Corporation" in another state. All entities that are considered “foreign” in other states are required to apply for the authority to conduct business in that state. Keep in mind that all states have varied qualification guidelines for this. Still, nearly all states require a Good Standing Certificate from the home state. Good Standings

In Tennessee, the Secretary of State will not issue certificates of good standings for General Partnerships, reserved names, or registered names. They will only issue a certificate of good standing for Corporations, LLCs, and LPs.

Also known as a Certificate of Status, a Certificate of Existence, or a Certificate of Authority, a Good Standing Certificate is a document issued by the SOS (Secretary of State) of Tennessee. It bears the SOS seal, and it is one page long. In certain cases, if the SOS is not the issuing authority, it might also bear another state agency seal. The Certificate of Good Standing is an official document. Having it for your business certifies that you are registered with the state of Tennessee and that you are compliant with all necessary state requirements.
