California SOS Changes – Effective January 1, 2015



Senate Bill 1301- makes changes to the Corporate Flexibility Act of 2011:

  • The statutes are amended to reflect a name change from Flexible Purpose Corporations to Social Purpose Corporations

  • Existing Flexible Purpose Corporations will be able to retain their name and purpose statement- No requirement to amend

  • Other Business Entities may now convert to Social Purpose Corporations

  • Stock Corporations may change their status to a Social Purpose Corporation by amending their articles


Senate Bill 1041- makes changes to various business filing forms:

  • New forms will be available on the Secretary of States website on January 1, 2015.
