How to obtain a New Mexico Good Standing

Companies registered to conduct business in New Mexico may need what's called a Certificate of Good Standing.

A Certificate of Good Standing is an important document that proves your company is registered to do business in your state. It may also show that your business is compliant with current state requirements.

The state of New Mexico issues Certificates of Good Standing. To obtain one, you must go to the Secretary of State's office and submit a records order. The certificate you receive will bear an authorized Secretary of State of New Mexico signature as well as an imprint of the New Mexico state seal.

Instead of a good standing, you might want to show that your company was suspended or dissolved and this same status request will certify this. It may also be a business other than your own that you want certified information on. You can also order a certified collection of all the filings on record for an entity, including for example the original articles of formation, the original registration if from out of the state, conversion, amendments, and such.

You can research records using New Mexico’s online business search and you can find more information about records-request forms and fees at the state web site. To obtain a certificate of Good Standing the next business day, SunDoc can expedite your request!

When Do You Need A Certificate Of Good Standing?

Any company will find that their Good Standing certification is an important part of their legal documentation. New Mexico registered businesses often need Certificates of Good Standing when they are buying a company outright, selling their company or companies, or involved in an acquisition or a merger.

Another common need for a Certificate of Good Standing is the application for a line of credit such as a business loan. Special licensing requirements and tax matters may also require having a Certificate of Good Standing. Remember that you can still be in good standing with the state of New Mexico even if you owe taxes, but you cannot be out of compliance with the actual tax process in the state.

If you plan to register your entity to conduct business in another state, you need to obtain foreign qualification. Go here to learn how SunDoc can help you with the foreign qualification process.

Finally, keep in mind that you must fully understand the unique requirements for your documentation needs. This means knowing about possible expiration deadlines (certain states require that your Certificate of Good Standing be less than 60 days old; others require that it be less than 30 days old).

Certificate Of Good Standing Or Certificate Of Status?

The Certificate of Good Standing in other jurisdictions may also be referred to as a Certificate of Status or of Existence. In New Mexico, it shows that an entity is registered to do business in the state, is in compliance with applicable corporate rules and licensing requirements, and has not been suspended by the state taxing authority, the Franchise Tax Board.

How To Get Your Good Standing Certificate

You can order your Certificate of Good Standing personally at the Secretary of State office or by mail. Mailed in certificate requests will take about 5 to 15 business days while it takes approximately two business days for an in-person order. Rush service is also available.
