A Mississippi Good Standing Certificate or Certificate of Existence is a document issued by the Secretary of State. This document may be required to renew business licenses, for loans, or for business or tax reasons. Having a Certificate of Good Standing will certify that your Mississippi business is “in existence” with the state. It also means that your business complies with state requirements and is authorized to conduct business in Mississippi. This puts your business in “good standing.”

To Qualify a Mississippi Corporation in Another State:
If you have a Mississippi LLC or corporation that you would like to foreign qualify in another state, you may need a Good Standing Certificate (Certificate of Existence). Any LLC or corporation will naturally be considered foreign to other states, and all entities must apply for the authority to transact business in other states. For this, each state has a different set of guidelines, but nearly all guidelines require a Good Standing Certificate (Certificate of Existence). We are able to help you with guidelines from any state. Head to our qualification page to learn more.
Certain states may offer both a short and long form “Good Standing.” They also might refer to a Good Standing Certificate by another name:
- Certificate of Authorization
- Letter of Good Standing
- Certificate of Fact
- Certificate of Existence
- Certificate of Authority
Delinquent or Revoked Status?
Entities that have been deemed delinquent or administratively dissolved will need to file necessary paperwork to get back in good standing. The first step is contacting the Mississippi Department of Revenue for a Tax Clearance Letter. Once you have that you can file the necessary paperwork with the Secretary of State, pay owed fees or fines, and get your entity back in good standing.
