To Qualify a Michigan Corporation in Another State:

If you need to certify a Michigan corporation or LLC in another state, it may require a Good Standing Certificate (aka, Michigan Certificate of Existence) in order to qualify your company as a "Foreign Corporation" from a state outside Michigan. To clarify, any entity is considered “Foreign” to a state that is not the home state, and must apply for the Authority to do business in that. To do so, every state has unique qualification procedures, and most of them include a Good Standing Certificate from the home state as part of the guidelines. Count on us for any that you are applying for. Click here to find our qualification page.

Sometimes, other states will offer both shorter and longer forms of good standing. Here are some other names that are used for a Good Standing Certificate:

  •    Certificate of Fact
  •    Certificate of Authority
  •    Certificate of Existence
  •    Certificate of Authorization
  •    Letter of Good Standing

Department of Licensing and Regulatory Affairs

It is the Department of Regulatory Affairs in Michigan that will issue you Certificates of Good Standing. This is not a function of the Secretary of State, who does not handle this type of certificate or any other business issues that may arise for that matter..
