Good Standing Certificates are official state documents that are required for loans, various tax and business purposes, and for renewing business licenses. Once you have one of these documents, you are in “Good Standing” with the state of Maryland. You are authorized to transact business within Maryland state lines, you are in compliance with all legal requirements, and you are considered “in existence” by the state as well. The Maryland Secretary of State (SOS) issues Good Standing Certificates. Keep in mind that they are also often called Certificates of Existence.

Steps to Qualifying a Maryland Corporation in a Separate State


In order to transact business in a state other than Maryland, it’s necessary for your Maryland LLC or corporation to qualify as a foreign corporation in that state. A Good Standing Certificate is often necessary to do this. Keep in mind that a Good Standing Certificate is often referred to as a Certificate of Existence. Also remember that all states have different guidelines that you must meet. One of these guidelines means having a Good Standing Certificate, but there may be additional requirements as well. Department of Assesment and Taxation

A status of good standing on the certificate only reflects their status with this department. The entity has filed all documents necessary and has a valid registered agent on file. The entity could be bankrupt, owe taxes, or be under indictment and still be in good standing with the Department of Assessment and Taxation.

Certificates of Good Standing are one page documents bearing the seal of the Maryland Secretary of State (SOS) and issued by the Maryland SOS. In certain instances, another Maryland state authority may issue a Certificate of Good Standing as well. You may see a Certificate of Good Standing called a Certificate of Status, a Certificate of Existence, a Good Standing Certificate, or a Certificate of Authority. Having one certifies that your legal Maryland entity complies with state requirements and is registered with the state of Maryland. Your entity must have been duly formed or registered in Maryland and you must submit the necessary documents in order to obtain a Certificate of Good Standing from the SOS. Any foreign or domestic, for-profit or nonprofit entity can obtain this document.
