The Secretary of State issues Idaho Good Standing Certificates (also known as Certificates of Existence). These documents may be required for various tax purposes, loans, or to renew business licenses. With a certificate, your Idaho business will be considered “in existence” with the state. It will also be authorized to transact business in Idaho and will be known to be in compliance with all state requirements. This will put your business in "good standing."

To Qualify an Idaho Corporation in Another State:

At SunDoc Filings, we can help you foreign qualify your Idaho Corporation or LLC in any state. In order to conduct business in a state other than your home state of Idaho, you must apply for the authority. This generally means having a Idaho Good Standing Certificate (Idaho Certificate of Existence). All entities will be considered foreign corporations in states other than your home state of Idaho. To learn about different states’ qualifications, head to our qualification page.

Remember that some states will provide both a long and short form good standing. Other states might also refer to a Good Standing Certificate in one of the following ways:

  •    Certificate of Fact
  •    Certificate of Authority
  •    Certificate of Authorization
  •    Letter of Good Standing
  •    Certificate of Existence

Certificates of Good Standing

The certificate will state if a company is in good standing or forfeited. Forfeited means the company did not file its annual report and must file necessary paperwork to get back in good standing. The certificate does not reflect any financial information about the company.

An Idaho Certificate of Good Standing is also known as an Idaho Certificate of Status and an Idaho Certificate of Authority. It is an official document issued by the Idaho Secretary of State that certifies that a business is in compliance with state requirements and a legal entity, registered with the state.
Upon submittal of the appropriate documents, the Idaho Secretary of State will grant a Certificate of Good Standing to any and all businesses — profit or nonprofit, domestic or foreign — that were duly registered or formed within the state of Idaho.
The document is one page long and bears the seal of the Secretary of State or another state agency if the issuing authority is not the Secretary of State.
