Wisconsin LLC Formation Guidelines
The Limited Liability Company name must contain must contain “limited liability company” or “limited liability co.” or end with the abbreviation “L.L.C.” or “LLC.” An available name may be reserved for a 120-day period.
ORGANIZERS / MEMBERS
The limited liability company can be formed by one (1) or more individuals and can be formed with one (1) or more members.
The members of a limited liability company may adopt and maintain a separate operating agreement. The agreement may contain any provisions regarding the affairs and conduct of the business of the company to the extent such provisions are not inconsistent with the laws of the Wisconsin or the Articles of Organization.
RECORD KEEPING REQUIREMENTS
The limited liability company must maintain an office, which may be but need not be a place of its business in Wisconsin or its registered office, where its records will be kept.
REGISTERED AGENT AND REGISTERED OFFICE
The limited liability company must maintain a registered agent and office to receive service of process in Wisconsin.
Submit to the Wisconsin Department of Financial Institutions an executed original and one conformed copy of the Articles of Organization.

For a foreign LLC, they must file its annual report, continuously maintain a registered agent and registered office in Wisconsin, and promptly apply for an amended certificate of registration in the event it changes its name, its date or state of organization or if the vesting of management of the LLC is changed.
