Your filing is now on its way! If we receive your Utah LLC's Articles of Organization by noon M-F, your filing will be submitted the same day it was received. The date submitted will become the file date of your new entity. The Secretary of State office will take at a few weeks to process routine orders. Keep in mind that if you mail the document to the state yourself, like many filing services do, you will have to wait SEVERAL MONTHS. When the state is approves your document, they will issue a state entity number and a certified copy We will immediately fax or email the filed document to you. We will return the certified copy via regular mail. FedEx is available for an additional fee.
Your Post-Filing Responsibilities
File a Statement of Information: After the Articles of Organization are filed, the Secretary of State requires that you file a Statement of Information. This includes the business address of the entity, the names and addresses of the members, the agent for service of process, and a brief description of the business. Add this to your order and we will file it for you.
Employer Identification Number: If you would like, we can obtain your EIN for your new Utah LLC. Simply add it to your order or fill out our online EIN order form and we will obtain the EIN within 24-48 hours.

Utah LLC Formation Guidelines
LIMITED LIABILITY COMPANY NAME
The Limited Liability Company name must contain must contain the words “Limited Liability Company,” “Limited Company, ” or the abbreviations “L.L.C.,” “L.C.,” “LLC,” or “LC.” An available name may be reserved for a 120-day period.
ORGANIZERS / MEMBERS
The limited liability company may have one (1) person acting as an organizer. The limited liability company can be formed with one (1)or more members.
Any period between 1 and 99 years. If no specific period of duration is not set forth in the articles of organization, the period of duration will default to 99 years.
Must set forth the specific purpose for the limited liability company is organized.
RECORD KEEPING REQUIREMENTS
The limited liability company must maintain an office, which may be but need not be a place of its business in Utah or its registered office, where its records will be kept. We cannot provide this office.
REGISTERED AGENT AND REGISTERED OFFICE
The limited liability company must maintain a registered agent and office to receive service of process in Utah.
The members of a limited liability company may adopt and maintain a separate operating agreement. The agreement may contain any provisions regarding the affairs and conduct of the business of the company to the extent such provisions are not inconsistent with the laws of the Utah or the Articles of Organization.
One (1) copy, originally signed, of the Articles of Organization, containing all of the information listed above. If the filer requests a copy of the Articles of Organization an additional exact copy of the filed document along with a return-addressed envelope with adequate first-class postage must also be submitted. The non-refundable processing fee payable to the State of Utah. An expedited service is available for an additional fee. You may file in person, by mail, or fax. Means of payment are, cash, check, or money order made payable to the "State of Utah". If you are faxing you must include, on a cover sheet, the number of a Visa, MasterCard or American Express with the date of expiration.
The new Utah Law HB 251 requires that all businesses with 15 or more employees must verify all new hires for legal working status by JULY 1, 2010. For more information go to Verify Utah.

- Update the principals connected to the business entity, including the registered agent who receives all correspondence from the Division of Corporations.
- Update the business address
- Update the business purpose
- Verify records of the completed changes.
