Oregon LLC Formation Guidelines
LIMITED LIABILITY COMPANY NAME
The Limited Liability Company name must contain must contain must contain “limited liability company” or the abbreviation “L.L.C.” or “LLC.” An available name may be reserved for a 120-day period.
ORGANIZERS / MEMBERS
The limited liability company can be formed by one (1) or more individuals 18 years of age or older. The limited liability company can be formed with one (1)or more members.
A limited liability company may be formed to conduct or promote any lawful business or purpose for which a partnership, corporation or professional corporation may be organized, unless a limited purpose or activity is set forth in the articles of organization.
The period of duration of a limited liability company may either be from the filing date of the Articles of Organization until the latest date specified in the Articles of Organization for the company’s dissolution or may be perpetual.
REGISTERED AGENT AND REGISTERED OFFICE
The limited liability company must maintain a registered agent and office to receive service of process in Oregon. A registered agent is an individual or a business entity located at a physical street address in Oregon, whose sole responsibility is to accept legal documents (service of process, lawsuits, liens, subpoenas, etc…) on behalf of the business. Each corporation shall continuously maintain in this state a registered agent and registered office that may be, but need not be, the same as any of its places of business.
Requirements to be a registered agent:
• An individual who resides in this state and whose business office is identical to the registered office.
• A registered domestic or foreign business entity such as a corporation, limited liability company,
professional corporation or nonprofit corporation authorized to transact business in this state whose business office is identical to the registered office.
The members of a limited liability company may adopt and maintain a separate operating agreement. The agreement may contain any provisions regarding the affairs and conduct of the business of the company to the extent such provisions are not inconsistent with the laws of Oregon or the Articles of Organization.
Submit to the Corporation Division an executed original and one conformed copy of the Articles of Organization.
Annual Reports - The Annual Report must be received by the state of Oregon by the anniversary date. Failure to do so may result in administrative dissolution.
