Your filing is now on its way! If we receive your Oklahoma LLC's Articles of Organization by noon M-F, your filing will be submitted the same day it was received. This includes the business address of the entity, the names and addresses of the members, the agent for service of process, and a brief description of the business. Oklahoma LLC Formation Guidelines

 

LIMITED LIABILITY COMPANY NAME

The Limited Liability Company must contain the words‘”Limited liability company” or “limited company” or the abbreviations “L.L.C.,” “LLC,” “L.C.” or “LC”. The word “limited” may be abbreviated as “LTD.” and the word “Company” may be abbreviated as “CO.,” respectively. The name may not be the same as or indistinguishable from the names upon the records in the Office of the Secretary of State of (1) other domestic or foreign entities, then in good standing or registered or which were in good standing or registered at any time during the preceding three years, or (2) trade names, fictitious names, or other names reserved with the Secretary of State. An available name may be reserved for a 60-day period.

The limited liability company can be formed by one (1) or more persons.

The limited liability company can be formed with one (1) or more members.

 

DURATION

The period of duration of a limited liability company may be perpetual unless limited by the Articles of Organization.

 

PURPOSE

A limited liability company may be formed for the purpose of carrying on any lawful business, purpose or activity, except that a limited liability company may not conduct business as a domestic insurer.

 

REGISTERED AGENT AND REGISTERED OFFICE

A limited liability company must maintain a registered agent and registered office to receive service of process in Oklahoma.

 

RECORD KEEPING

Unless otherwise provided in a written agreement, a limited liability company shall keep at its principal place of business the records required by Section 2021 of the Oklahoma Limited Liability Company Act. We do not supply this address.

 

OPERATING AGREEMENT

The operating agreement of the limited liability company governs generally: 1. Relations among the members as members and between the members and the limited liability company; 2. The rights and duties under this act of a person in the capacity of manager; 3. The activities of the company and the conduct of those activities; and 4. The means and conditions for amending the operating agreement. If the operating agreement does not otherwise provide, this act governs the matter. The operating agreement may not vary the rights, privileges, duties and obligations imposed specifically under the Oklahoma Limited Liability Company Act. A limited liability company is bound by its operating agreement regardless of whether it executes the operating agreement. A member or manager of a limited liability company or an assignee of a membership interest is bound by the operating agreement regardless of whether the member, manager or assignee executes the operating agreement.

 

An operating agreement of a limited liability company having only one member is not unenforceable because there is only one person who is a party to the operating agreement.

 

The obligations of a limited liability company and its members to an assignee or dissociated member are governed by the operating agreement. Subject only to any court order to effectuate a charging order, an amendment to the operating agreement made after a person becomes an assignee or dissociated member is effective with regard to any debt, obligation, or other liability of the limited liability company or its members to the assignee or dissociated member.

 

FILING PROCEDURES

Submit to the Secretary of State one (1) executed Articles of Organization. The Secretary of State files the document and returns a file-stamped copy to the person who filed it or his or her representative.

 

Ongoing Requirements

Upon forming your LLC, you must also maintain the following to preserve your good standing with the state of Oklahoma.

  • Annual report. Oklahoma requires LLCs to file an annual certificate, which is due on the anniversary date of the LLC’s incorporation.
  • Taxes. For complete details on state taxes, visit the State of Oklahoma.
  • Federal tax identification number (EIN). An EIN is required for LLCs that will have employees. Additionally, most banks require an EIN in order to open a business bank account.
  • State tax identification number. Oklahoma does not require a state tax identification number.

Corporations are required to perform certain duties such as holding annual meetings and keeping detailed corporate records (minutes). Limited Liability Companies (LLCs) offer the same personal liability protection as corporations, but with fewer requirements. LLCs also offer great tax flexibility. Members can choose to be taxed as either a traditional corporation or as a "pass-through" entity.
Do I need to file a DBA (assumed name) in Oklahoma?
Depending on your type of business entity, it may be required or recommended to file a DBA. A DBA (Doing Business As) or assumed name is the legal term for registering your business name. In some jurisdictions it is called a fictitious owner affidavit or fictitious business name. Its purpose is to prevent confusion and fraud in the marketplace. Because real names and addresses are required on the application, creditors and other interested parties can connect a business name to the actual owner of the business by looking up its DBA. Filing a DBA protects the public from fraudulent use of a name by preventing someone from hiding behind a business name. It also protects the registered business from others who might try to impersonate them by doing business under that name. A sole proprietorship is not always required to file for a DBA since an owner can operate under their actual name. However, this may cause difficulties when taxes are calculated because it can be hard to tell when a purchase was for the business and when it was for personal use. For accounting reasons, filing a DBA is recommended. Having a legal DBA name on file also means bank accounts and credit can be opened in that name. Simple partnerships have the same requirements as sole proprietorships and a DBA is not required if the business operates under the partners’ true names. A limited partnership does have to file for a DBA at the Secretary of State’s Office as part of the paperwork necessary to create a limited partnership. Other business structures – C Corp, S Corp, LLC – have name registration built into the formal process of the entity creation. The formal name in these cases will include Inc. or LLC or Corp. as part of the name to identify the type of business to the public. The local government authority (usually at the county level) will accept and register a DBA name. Although the requirements vary by jurisdiction, in general the owner or authorized representative personally fills out a form at the county treasurer's office. Other county departments that accept DBA applications are the County Register of Deeds or the Secretary of State.
