File a Statement of Information: After the Articles of Organization are filed, the Secretary of State requires that you file a Statement of Information. The Statement of Information, includes the business and mailing address of the entity, the names and addresses of the members, the agent for service of process, and a brief description of the business. New Jersey LLC Formation Guidelines
In addition to containing the words “Limited Liability Company” or the abbreviation “L.L.C.”; it may contain the name of a member or manager; it must be such as to distinguish it upon the records in the office of the Department of the Treasury from the name of any domestic or foreign corporation, limited partnership, business trust, or limited liability company, unless the written consent of the entity holding the conflicting name is furnished to the Department of the Treasury; it may not contain any word or phrase, or any abbreviation or derivative thereof, the use of which is prohibited by any other statute of New Jersey, unless the restrictions have been complied with. An available name may be reserved for a 120-day period. The state fee is $50 fee (add $25, if expedited service is required).

The limited liability company can be formed by one (1) or more authorized persons. The limited liability company can be formed with one (1)or more members.
It is acceptable to state either alone or with a specific purpose clause, “The purposes for which the Limited Liability Company is organized shall be to transact any and all lawful business for which Limited Liability Company may be organized pursuant to the provisions of the New Jersey Limited Liability Company Act.”
The period of duration of a limited liability company extends from the filing of the Articles of Organization until the latest date specified in the Public Records Filing for a New Entity for the company’s dissolution; or, may perpetual in accordance with the provisions of the New Jersey Limited Liability Company Act.
REGISTERED AGENT AND REGISTERED OFFICE
The limited liability company must maintain a registered agent and office to receive service of process in New Jersey.
Submit to the Department of Treasury one (1) executed original and one (1) copy of the Public Records Filing for a New Entity. The Department of Treasury returns one (1) certified copy as evidence of filing.
