File a Statement of Information: After the Articles of Organization are filed, the Secretary of State requires that you file a Statement of Information. The Statement of Information, includes the business and mailing address of the entity, the names and addresses of the members, the agent for service of process, and a brief description of the business. We can file this for you; simply add it to your order.
Employer Identification Number: If you would like, we can obtain your EIN for your new Mississippi LLC. Simply add it to your order or fill out our online EIN order form and we will obtain the EIN within 24-48 hours.

Mississippi LLC Formation Guidelines
The Limited Liability Company name must contain must contain “limited liability company” or the abbreviation “L.L.C.” or “LLC.” The name may contain the name of a member or manager. Unless otherwise authorized, the name must be distinguishable upon the records of the Secretary of State from (i) the name of any domestic or foreign corporation, nonprofit corporation, limited partnership or limited liability company organized or registered under the laws of this state; and (ii) a name reserved or registered in the office of the Secretary of State. An available name may be reserved for a 180-day period. Once having so reserved a name, the same applicant may not again reserve the same name until more than sixty (60) days after the expiration of the last 180-day period for which that applicant reserved that name.
The limited liability company can be formed by any one (1) organizer.
The limited liability company can be formed with one (1) or more members.
The period of duration of a limited liability company extends from the filing date of the Certificate of Formation until the filing of a Certificate of Dissolution.
Subject to the provisions of its certificate of formation and subject to any other laws of the State of Mississippi which govern or limit the conduct of a particular business or activity, a limited liability company may carry on any lawful business, purpose or activity.
The limited liability company must maintain a copy of its records at its principal a place of business in Missouri. We cannot provide this office.
The limited liability company must maintain a registered agent and office to receive service of process in Mississippi.
The members of a limited liability company may adopt and maintain a separate limited liability company agreement. The agreement may contain any provisions regarding the affairs and conduct of the business of the company to the extent such provisions are not inconsistent with the laws of the Mississippi or the Certificate of Formation.
Submit executed original Certificate of Formation to the Secretary of State. The Secretary of State files the original and returns a copy.
Annual reports are due within 60 days of each anniversary date of organization with respect to a domestic organization, and within 60 days of each anniversary date of authorization to transact business in Mississippi with respect to a foreign LLC. The LLC must also keep records that include the current names and addresses of its members and any contribution information. Copies of the articles of organization and any amendments should also be kept on file.
