The Statement of Information, includes the business and mailing address of the entity, the names and addresses of the members, the agent for service of process, and a brief description of the business. Michigan LLC Formation Guidelines
Limited Liability Company Name
The Limited Liability Company name must contain the words “Limited Liability Company” or the abbreviations “L.L.C.” or “L.C.”, with or without periods or other punctuation. An available name may be reserved for a 180-day period. If you are not ready to form your company, reserve your name on our name reservation order page now. Once you are ready, we highly recommend that you provide us with several choices to reduce the chance of rejection.
Organizers / Members
One or more persons who will be members can act as the organizers of a limited liability company and the LLC can be formed with one or more members.
A limited liability company may be formed for any lawful purpose for which a domestic corporation or a domestic partnership can be formed, except as otherwise provided by law.
The duration of a limited liability company is perpetual unless otherwise set forth in the Articles of Organization.
Registered Agent & Registered Office
A limited liability company must maintain a registered agent and registered office to receive service of process in Michigan.
We cannot provide the record keeping office as registered agent. The records required to be maintained by statute must be kept at the principal office in Michigan of the limited liability company
The members of a limited liability company may adopt and maintain a separate operating agreement. The agreement may contain any provisions regarding the affairs and conduct of the business of the company to the extent such provisions are not inconsistent with the laws of the Michigan or the Articles of Organization.
Submit to the Department of Commerce - Corporation and Securities Bureau an executed original of the Articles of Organization.
The State of Michigan requires that most businesses obtain a business license and pay related fees to operate in the state. Please check with the state to make sure your business is compliant with the license requirements for your particular profession or industry.
Ongoing Obligations - Each limited liability company shall keep following records open to inspection at its office:
- Copy of the articles and any other amendments on file with the Secretary of State.
- Operating agreements
- Current list of the full name and last-known address of each member and manager
- Copies of the tax returns and local tax returns or reports, for the last 3 years
- Financial statements of the limited liability company for the 3 most recent years.
- Copies of records that shows the members' relative shares of the limited liability company's distributions and the members' voting rights.
