Your filing is now on its way! If we receive your Louisiana LLC's Articles of Organization by noon M-F, your filing will be submitted the same day it was received. The date submitted will become the file date of your new entity. The Secretary of State office will take at a few weeks to process routine orders. File a Statement of Information: After the Articles of Organization are filed, the Secretary of State requires that you file a Statement of Information. The Statement of Information, includes the business and mailing address of the entity, the names and addresses of the members, the agent for service of process, and a brief description of the business. We can file this for you; simply add it to your order.
Employer Identification Number: If you would like, we can obtain your EIN for your new Louisiana LLC. Simply add it to your order or fill out our online EIN order form and we will obtain the EIN within 24-48 hours.

Louisiana LLC Formation Guidelines
LIMITED LIABILITY COMPANY NAME
The Limited Liability Company must contain the words must contain “limited liability company”, the abbreviation “L.L.C.”, or the abbreviation “L.C.” An available name may be reserved for a 60-day period.
A limited liability company may be formed by one (1) or more persons.
The limited liability company can be formed with one (1) or more members.
A limited Liability company may be organized to conduct any lawful purpose, unless a more limited Purpose is stated in its articles of organization. A limited liability company may not be formed for the purpose of insurance underwriting in all of its several forms.
The period of duration of a limited liability company shall be perpetual unless limited by the Articles of Organization.
REGISTERED AGENT AND REGISTERED OFFICE
A limited liability company must maintain a registered agent and registered office to receive service of process in Louisiana. Additionally Section 12:1319 of the Louisiana Limited Liability Law requires that the limited liability company maintain certain records at it’s Registered Office. We can act as Registered Agent and Registered Office but the limited liability company must acknowledge that it is aware of the record keeping requirement by executing an affidavit to that effect.
The members of a limited liability company may adopt and maintain a separate operating agreement. The agreement may contain any provisions regarding the affairs and conduct of the business of the company to the extent such provisions are not inconsistent with the laws of the Louisiana or the Articles of Organization.
Submit to the Secretary of State: One (1) executed copies of the Articles of Organization; and One (1) executed copy of the Limited Liability Company Initial Report. Please note the Initial Report contains an Agent’s Affidavit and Acknowledgment of Acceptance that must be signed by the designated agent. Submit to your Registered Agent representative the Affidavit pursuant to Section 16, Act No. 93-724 of the 1993 Alabama Legislature (NOT to be filed with Secretary of State).
Every Louisiana LLC must file a report annually (on or before the LLC's organization anniversary) with the Commercial Division of the Louisiana Secretary of State's office that includes the following:
The physical address (not just a post office box) of the LLC's registered office
The name and physical address of its registered agent(s)
The name and physical address of each manager (if the LLC is manager-managed) or each member (if the LLC is member-managed)
The annual report must be filed by a manager if the LLC is manager-managed, or by a member if it is member-managed.
Additionally, each LLC must keep these kinds of records available at its office for review or inspection:
- A list of the full name and address of each member and manager (for member-managed LLCs)
- Copies of records which would enable a member to determine the relative voting rights of the LLC's members
- A copy of the articles of organization, along with any amendments
- Copies of the LLC's federal and state income tax returns and reports for the past three years
- A copy of the operating agreement
- Copies of financial statements for the past three years
Although it is not required, it is recommended that you keep on file the minutes of the meeting of the board and any committees of the owners or members.
