File a Statement of Information: After the Articles of Organization are filed, the Secretary of State requires that you file a Statement of Information. The Statement of Information, includes the business and mailing address of the entity, the names and addresses of the members, the agent for service of process, and a brief description of the business. We can file this for you; simply add it to your order.
Employer Identification Number: If you would like, we can obtain your EIN for your new Kentucky LLC. Simply add it to your order or fill out our online EIN order form and we will obtain the EIN within 24-48 hours.

Kentucky LLC Formation Guidelines
Limited Liability Company Names
The name of a limited liability company shall contain the phrase "limited liability company" or "limited company" or the abbreviation "LLC" or "LC." The word "limited" may be abbreviated as "Ltd." and the word "Company" may be abbreviated as "Co." The name must be distinguishable from any name of record with the Secretary of State. An available name may be reserved for a 120-day period. The filing fee is $15.
Organizers / Members
The limited liability company can be formed by any one (1) or more persons. The limited liability company can be formed with one (1) or more members.
The period of duration of a limited liability company shall be perpetual, unless limited by the Articles of Organization.
The members of a limited liability company may adopt and maintain a separate operating agreement. The agreement may contain any provisions regarding the affairs and conduct of the business of the company to the extent such provisions are not inconsistent with the laws of the Kentucky or the Articles of Organization.
The limited liability company must maintain an office, which may be but need not be a place of its business in Kentucky or its registered office, where its records will be kept.
The limited liability company must maintain a registered agent and office to receive service of process in Kentucky.
State Filing Procedures
Submit to the Secretary of State one (1) original Articles of Organization. The Secretary of State files the document and returns a copy with an acknowledgment of the time and date of filing. One “Filed” copy must then be submitted to the county clerk of the county where the registered office of the limited liability company is located.
All corporations (profit, non-profit & professional service), limited liability companies (profit, non-profit & professional service), limited partnerships (filed under 2006 Act), limited liability limited partnerships, and business trusts that are registered with the state, are required to file an annual each year by June 30th. Failure to file the annual report will result in the company being listed in bad standing with this office and could lead to administrative dissolution or revocation of authority to transact business in Kentucky. Report any change in the corporation's registered agent or registered office on a Statement of Change of Registered Agent as soon as those changes occur.
Report any change in the principal office address to the Secretary of State on a Statement of Change of Principal Office.
