The Statement of Information, includes the business and mailing address of the entity, the names and addresses of the members, the agent for service of process, and a brief description of the business. Arkansas LLC Formation Guidelines
Limited Liability Company Name
The Limited Liability Company must contain the words must contain the words “Limited Liability Company” or “Limited Company” or the abbreviations “L.L.C.,” “L.C.,” “LLC,” or “LC.” The word “Limited” may be abbreviated as “Ltd.” and the word “Company” may be abbreviated as “Co.” respectively. An available name may be reserved for a 120-day period. Issuance of a name by the Arkansas BCS Division does not necessarily give a person the exclusive right to use of that name. Many businesses do not choose to incorporate. The Office of Secretary of State has no record of these and thus cannot search names of unincorporated businesses. The question of who is the “owner” of a name is a complex one that should be addressed to legal counsel. Many lawyers will advise you that protecting a name is well down the list of reasons to consider incorporation. However the SOS does not allow corporations to file entity names that are the “same” as other corporations.
Organizers / Members
The limited liability company can be formed by any one (1) or more persons. The limited liability company can be formed with one (1) or more members.
The members of a limited liability company may adopt and maintain a separate operating agreement. The agreement may contain any provisions regarding the affairs and conduct of the business of the company to the extent such provisions are not inconsistent with the laws of Arkansas or the Articles of Organization.
Duration of LLC
The period of duration of a limited liability company may be perpetual unless limited in the Articles of Organization.
The Limited Liability Company must maintain a registered agent and office to receive service of process in Arkansas.
Submit to the Secretary of State duplicate executed copies of the Articles of Organization. Please note the Registered Agent must execute the Articles giving his acceptance to act.
Arkansas Code Annotated Also known as A.C.A and is often referred to as “the Code.” In short, it is Arkansas state law.
