Your filing is now on its way! If we receive your Alaska LLC's Articles of Organization by noon M-F, your filing will be submitted the same day it was received. The date submitted will become the file date of your new entity. The Secretary of State office will take at a few weeks to process routine orders. Keep in mind that if you mail the document to the state yourself, like many filing services do, you may have to wait at least a month. When the state is approves your document, they will issue a state entity number and a certified copy We will immediately fax or email the filed document to you. We will return the certified copy via regular mail.
Your post-filing responsibilities
File a Statement of Information: After the Articles of Organization are filed, the Secretary of State requires that you file a Statement of Information. The Statement of Information, includes the business and mailing address of the entity, the names and addresses of the members, the agent for service of process, and a brief description of the business. If you would like us to file the initial Statement of Information, please add it to your order.
Employer Identification Number: If you would like, we can obtain your EIN for your new company. Simply add it to your order or fill out our online EIN order form and we will obtain the EIN within 24-48 hours after your entity is filed.

Alaska LLC Formation Guidelines
Limited Liability Company Name
The name must end with the words “limited liability company” or the abbreviation “L.L.C.,” or “LLC.” The word “limited” may be abbreviated as “Ltd.,” and the word “company” may be abbreviated as “Co.” The name may not contain the words “city”, “borough” or “village” or otherwise imply that the company is a municipality. The name must be distinguishable from trade names on record with the Division. An available name may be reserved for a 120-day period. The name you use for your business may become an asset – the business name becomes associated with the high quality of goods or services that you provide, and another business owner may want to use that reputation for his own benefit. Registering your business name prevents other businesses around the state from using the same name. A business name may be reserved while you are preparing to start your business. For corporations, limited liability companies, and other business organizations certified with the State of Alaska, the business name is automatically registered when the form of business is certified. A business name is eligible to be registered if it can be distinguished from other business names (e.g. “Alaska Airlines” is already in use), if it is not misleading (e.g. the name cannot include “corporation” if the business is not incorporated), and if it is not vulgar. Before reserving or registering a business name, make sure the name is available and will not be misleading. Registration of a business name is valid for five years, and can be renewed.
Organizers / Members
The limited liability company can be formed by any one (1)or more persons. The limited liability company can be formed with one (1)or more members.
The members of a limited liability company may adopt and maintain a separate operating agreement. The agreement may contain any provisions regarding the affairs and conduct of the business of the company to the extent such provisions are not inconsistent with the laws of the Alaska or the Articles of Organization.
The limited liability company must maintain a registered agent and office to receive service of process in Alaska.
Submit to the Department of Commerce, Community, and Economic Development executed original and a conformed copy of the Articles of Organization. Submit Alaska Business License Application prior to commencing business.
Professional services businesses
Professional limited liability companies (PLLCs) are not allowed. Professional services businesses can form as an LLC.
Alaska requires LLCs to file an initial report with the state within six months of incorporating.
Annual report (required every other year)
Alaska requires LLCs to file a biennial report. The first report must be filed by January 2nd following incorporation and every two years thereafter. The report is considered delinquent if not filed before February 1st and fees and penalties may apply.
Business licenses and/or permits are required for most businesses.
