Qualifying Your Connecticut Corporation in a Separate State

In order to foreign qualify your Connecticut business (LLC or corporation), it is not uncommon to need a Good Standing Certificate (also known as a Certificate of Existence). What’s important to remember is that, by default, any Connecticut-based entity will be considered “foreign” in any other state. Therefore, in order to conduct business in any other state, your Connecticut-based entity will need to apply for the authority to do so. Again, this is where a Good Standing Certificate from your home state of Connecticut is usually required. With that being said, all states have different requirements. Fortunately, we are equipped to help you with any state. Go to our qualification page to find out more.

Keep in mind that some states may offer of a long and short form good standing. It’s also possible that they refer to a Good Standing Certificate by a different term, such as:

  •    Certificate of Existence
  •    Certificate of Authority
  •    Letter of Good Standing
  •    Certificate of Fact
  •    Certificate of Authorization

A Certificate of Good Standing may also be referred to as a Certificate of Existence or a Certificate of Status. Upon submittal of the required documents, the Connecticut Secretary of State Office will grant one of these certificates to any type of business entity in Connecticut. This includes domestic and foreign businesses and profit and nonprofit businesses. The entity must have been duly formed or registered within the state of Connecticut, however. The Certificate of Good Standing is a one-page document that is officially issued by the Secretary of State and will bear the seal of the Secretary of State Offices. In select cases, another official state agency will issue a Certificate of Good Standing as well.
