The Secretary of State (SOS) of Alaska issues Good Standing Certificates (Certificates of Existence) to businesses for tax purposes, business purposes, taking out loans, and renewing business licenses. Once you have this document, your business or entity will be seen as “in existence” and “in good standing” within the state of Alaska. This, in turn, will authorize your business or entity to conduct business within Alaska state lines. It certifies that your business or entity is complying with state requirements.

In order to qualify an Alaska corporation in a separate state:

 

An Alaska Good Standing Certificate or Certificate of Existence may be required in order to foreign qualify your Alaska-based LLC or Corporation. Definition
The Secretary of State or another state authority will issue Good Standing Certificates. These are one-page documents. As the issuing authority, the Secretary of State seal will be on the document (or the seal of another state agency will be there if the SOS is not the issuing authority). You may have heard of this document by other names: Certificate of Status, Certificate of Authority, or Certificate of Existence. Having a Good Standing Certificate certifies that you are currently in compliance with all state of Alaska requirements, and it certifies that you are a legal entity registered with the state. The SOS will grant one of these certificates to any entity that was duly registered or formed within Alaska — whether the entity is domestic or foreign or profit or nonprofit.
