Step 1: Statement of Information: If the
California LLC is over 90 days old, the LLC is required to
have a current Statement of Information on file before it can amend its Articles
of Organization. This is a common oversight made by document filers. Without
the Statement of Information, the Secretary of State does not have on record who
is authorized to sign as a member or manager of California LLC. If you need

Step 2:
Check name
availability: Skip this step if the California LLC Amendment is not a name
change or name
availability has already been checked. First, determine your primary name and back up name choices for

Complete the
form: Complete the California LLC Certificate of Amendment. For

Step 4:
How fast do you
need your document filed? Select the appropriate
order form and fax or e-mail the completed form with the
signed Certificate of Amendment Form LLC-2 to 800-498-3611 or e-mail

Document is
complete: When the state is finished with your
document, they will return two certified copies. We will
immediately fax a copy of the filed document to you. We will
return the two certified copies via regular mail. FedEx is
available for an additional $25.00 fee or use your own FedEx
account number at no extra charge. That is it. So fast and easy!

Name availability check:
$30.00 for one first choice plus 2 back up name choices for no extra charge plus
a state fee of $4.00 per each name checked. Add $10.00 state charge to reserve
the LLC name (optional). Click here for

Fax/e-mail the form: 24
hours. If you need to amend an LLC on a 24 hour rush basis,
the Secretary of State charges a $350.00 rush fee plus a
$30.00 filing fee. Our fee is a total of $100.00 for this
service. Total fees: $480.00.
Fax or e-mail the document to
our office with a cover letter. Credit card required.
Routine fax/e-mail:
7 business days: Our service
fee is $70.00 plus the California Secretary of State fee of
$45.00 ($30.00 filing fee + $15.00 counter fee) for a total
of $115.00. Fax or e-mail the document to our office. Credit
card required.
This option shaves a day of
the filing time, eliminates preparation time on you end, and
saves you a FedEx fee to our office.
Budget Mail in: 7 business days: Our service fee is
$50.00 plus the California Secretary of State fee of $30.00 filing fee + $15.00 counter fee.
To qualify for the reduced service fee, you must
send the following: 1 originally signed document and 2
photocopies. Two separate checks both made payable to the
Secretary of State; one for $30.00 and one for $15.00. A
third check for our fee made payable to Sun Document Filings
for $50.00. Add $3.00 if you would like a fax return copy.

Review
Document Warranty can be purchased for an additional $50.00
for routine service or $100.00 for 24 hour rush orders.
Check option on order form. Warranty includes: Verifying
that the following is present: Check legal name and LLC
number, signer's name is present, title of signer is present
and the title is acceptable, verify date and signature are
present. In addition, we will look for obvious errors such
as name missing LLC ending or LLC numbers that are shorter
then usual. We will also verify that the form is acceptable
for microfilming. The review warranty does not include
verifying that the person or persons who has signed the
document has proper authority to sign or that the title they
have provided matches the current statement of information
(nor will be verify the statement of information has been
filed) or who the authorized signers (per the statement of
information) are on the LLC on the form. Warranty does not
cover changes in management, attachment pages, amendment
reasons, or any information that would be deemed legal or
require legal review. NOTE: We cannot review any document
for legal errors as we are attorneys.
Filing tips
for a California LLC Certificate of Amendment
- Have the Articles of Organization,
current Statement of Information,
and any previously filed Certificate of Amendments in front of you while
preparing the Certificate of Amendment LLC-2 form.
-The member or manager that plans on
signing the Certificate of Amendment must be listed on the most current
Statement of Information LLC-12.
- Do not reference the Agent for
Services of Process anywhere on the Certificate of Amendment. If you want to
change the Agent for Service of Process, you must file a Statement of
Information.
- Double check the LLC number and make
sure it matches exactly with the Secretary of State's records. If the LLC was
formed in 1998 or earlier, due to the Y2K bug, the Secretary of State changed
all the LLC numbers. Hint: If your original file number starts with 101 then you
have an old number. Do not use the old number on the form. Use the new number
that starts with the year it was formed such as 1998. If the LLC was formed in
1999 or later, use the number that was issued on the Articles of Organization.
Call the Secretary of State at 916-653-3365 to verify your LLC number.
- When filling in the form LLC-2, make
sure that the LLC's current name it is typed exactly as it appears on the Articles of
Organization or previous name change Amendment. Do not abbreviate it or leave
out punctuation.
- Remember, you are amending an
Articles on the original Articles of Organization. Therefore, you can't amend
something that wasn't there in the first place.
- The Certificate of Amendment must be
typed.
- The Certificate of Amendment cannot be signed by the attorney, it must be
signed by the member or manager.
- Do not enter an effective date that
has already past. An effective date is not required and if in doubt, leave it
blank. However, if you want to mention a future effective date, please follow
the Secretary of State's instructions.
- Do not check mark the 3. B. "The
Limited Liability company will be managed by:" or less you are actually changing
how the LLC is managed. For example, the Articles of Organization state "one
manager" will manage and on the form you check "one manager", the Secretary of
State will reject the document because you are attempting to amend information
that is already of record.
- If the LLC is owned/managed by
another business entity such as a corporation or other LLC AND the name of the
business entity is listed on the current Statement of Information, sign the
document as follows:
If member/manager is a corporation -
John Doe, President on behalf of ABC, Inc., Manager - This would indicate that
the manager of the LLC that is being amended is ABC, Inc. John Doe has authority
as President of ABC, Inc. to sign on behalf of the company provided John Doe is
listed on ABC, Inc.'s current Statement of Information.
If member/manager is an LLC - John
Doe, Manager on behalf of ABC, LLC, Manager - This would indicate that the
manager of the LLC that is being amended is ABC, LLC. John Doe has authority as
Manager of ABC, LLC to sign on behalf of the company provided John Doe is listed
on ABC, LLC's current Statement of Information.
