Step 1

Step 2

Download and Prepare the Articles of Organization: Prepare the California LLC Articles of Organization. The filing packet prepared by the California Secretary of State is provided in PDF format. Please note that only basic requirements are shown. A rejected document will require additional state and service fees upon re-submittal. Step 3

Step 4:

Congratulations! Your Document is Filed: If we receive your California Limited Liability Company Articles of Organization by 2:00pm M-F, your LLC will be filed and active by 5:00PM! This means your company will be given the file date your document was submitted on. Once the document is submitted to the Secretary of State, the State will take a few weeks to process, but keep in mind that if you mail the document to the state, like many filings services do, you will have to wait SEVERAL MONTHS.

When the state is finished with your document, they will issue a state corporate number and two certified copies. We will immediately fax or email the filed document to you. We will return the two certified copies via regular mail. FedEx is available for an additional fee.


Your Post-Filing Responsibilities

File a Statement of Information: After the Articles of Organization are filed, the Secretary of State requires that you file a Statement of Information within 90 days (and every other year thereafter). If you fail to file the Statement of Information, the Secretary of State will assess a $250.00 late fee penalty. The Statement of Information includes the business and mailing address of the LLC, the names and addresses of the officers and directors, the agent for service of process, and a brief description of the LLC.

When we send you the certified copies of the Articles of Organization, we will include a statement of information form. You will have two choices:

1) Mail it to the state with the filing fee and wait months for filed copy
2) Use our service to file the Statement of Information for a quicker turnaround time.

Employer Identification Number: If you would like, we can obtain your EIN for your new California LLC. Simply download and fill out our EIN application and we will prepare the form and e-mail it to you for signature. Once we receive your signature, we will obtain the EIN within 24-48 hours. Add $45.00 for this service.

California LLC Kit: We offer a variety of California Corporate/ LLC kits that include a custom binder, seal embosser, Operating Agreements and meeting minutes, and more. You can order the California LLC kit at the time of filing or if you prefer, you can place the order on-line using your credit card. Standard LLC kit including 2nd day shipping is $85.00.

Name availability check

$30.00 for one first choice plus 2 back up name choices for no extra charge plus a state fee of $4.00 per each name checked. California Registered Agent services for one year: $169.00.

24 Hour Rush

If you need to form an LLC on a 24 hour rush basis, the Secretary of State charges a $350.00 rush fee plus a $70.00 filing fee. Our fee is a total of $200.00 for this service. The total fees come to $620. Fax or e-mail the document to our office with cover sheet or order form. Credit card required.

Routine Walk-in Service

Our service fee is $70.00 plus the California Secretary of State fee of $85.00 ($70.00 filing fee + $15.00 counter fee) for a total of $155.00. Fax or e-mail the routine order form to our office. Credit card required.

We can also Obtain a Certificate of Good Standing at the time of filing: Our service fee is $35.00 plus $5.00 state fee per certificate. On a 24 hour rush with filing add $150.00 plus $5.00 state fee. Same day - add $250.00 plus $5.00 state fee per certificate.
