Step 1: Check name availability: Skip this step if you have already checked name availability. If you need us to perform a name availability check, determine your primary and back up name choices for your California LLC prior to contacting us. Step 2: Download and Prepare the form: Prepare the California LLC Articles of Organization on form LLC-1. The LLC form is provided in PDF format. For your convenience, you may download a copy of the LLC form including detailed instructions prepared by the California Secretary of State in PDF format below. The LLC form provided can be viewed and printed from your computer using the most current version of the Adobe Reader (available for free from Adobe's Website).

Step 4: Document is Filed: If we receive your California LLC Articles of Organization by 2:00pm M-F, your limited liability company will be filed before 5:00PM! This means your company will be given the file date your document was submitted on. SAME DAY AND 24 hour rush options available for an additional fee. See Service and State fees. When the state is finished with your document, they will issue a state LLC number and two LLC forms with certified copies attached. We will immediately fax a copy of the filed document to you. We will return the two certified copies via regular mail. FedEx is available for an additional $25.00 fee or if you have your own FedEx account number, there is no extra charge. That is it. Step 5: File a Statement of Information - Form LLC-12: After the Articles of Organization are filed, the Secretary of State requires that you file a statement of information within 90 days (and every other year thereafter). If you fail to file the Statement of Information, they Secretary of State will assess a $250.00 late fee penalty - so do not forget to file the document. The Statement of Information includes the business and mailing address of the LLC, the names and addresses of the CEO (if any), the members or managers, the agent for service of process, and a brief description of the LLC.

Most banks will require a filed statement of information to open the LLC bank account. Most insurance companies will require a filed statement of information before they will give the LLC health insurance. When we send you the certified copies of the Articles of Organization, we will include a statement of information form. You will have two choices; 1) Mail it to the state with the filing fee and wait months for the filed copy or 2) For a quicker turnaround time use our service to file the Statement of Information. Step 6: Employer Identification Number: If you would like, we can obtain your client's EIN for their new California LLC. Simply download and fill out our EIN application and we will prepare the form and e-mail it to you for your client's signature. Once we receive your client's signature, we will obtain the EIN within 24-48 hours. Add $45.00 for this service.

Fax/e-mail the form: 24 hours. If you need to form an LLC on a 24 hour rush basis, the Secretary of State charges a $350.00 rush fee plus a $70.00 filing fee. Routine fax/e-mail: Our service fee is $70.00 plus the California Secretary of State fee of $85.00 ($70.00 filing fee + $15.00 counter fee) for a total of $155.00. Budget Mail in: Our service fee is $50.00 plus the California Secretary of State fee of $70.00 filing fee + $15.00 counter fee. To qualify for the reduced service fee, you must send the following: 1 originally signed document and 2 photocopies. Two separate checks both made payable to the Secretary of State; one for $70.00 and one for $15.00. A third check for our fee made payable to Sun Document Filings for $50.00.
