File a Statement of Information for an LLC with the Secretary of State

Sun Document Filings can file a California LLC Statement of Information form with the California Secretary of State in Sacramento on an expedited basis. A Statement of Information includes the mailing and business address of the LLC. It also includes the name and address of its members, managers, and CEO. In addition, the Agent for Services of Process/ Registered Agent and description of the LLC is also listed. A new limited liability company must file an initial Statement of Information, form LLC-12 within 90 days of filing the Articles of Organization. After the initial filing, the LLC must file a LLC Statement of Information every other year for the life of the LLC. If the LLC moves, a statement must be filed to change the LLC address.

Step 2: Select and download State form - Choose form LLC-12 if you are filing an initial statement or your biennial statement of information is due. If you are not sure if you are filing an amendment, use this form. If you recently filed and paid the $20.00 state fee and you are simply updating information, use form LLC-12R.

Step 3: Prepare and Send the form - Read the instructions provided by the Secretary of State. Complete the statement of information form according to the instructions. Please do not leave a required field blank or the Secretary of State will not file your document. Print the form, sign it, and fax it to us along with our order form to 888-995-2747. Or if you have the full version of Adobe Acrobat, save the form and e-mail it to us at order@sundocumentfilings.com. Tips to help you to prepare the form correctly -
Read the instructions provided by the Secretary of State. Complete the form according to the instructions. Please do not leave a required field blank or the Secretary of State will not file your document. IMPORTANT: If you need to change only one item, for example the agent for service of process or add a member, you must complete the form in its entirety.

Tips to avoid document rejection and resubmittal fees - PLEASE READ:
        a. All Limited Liability Companies must have at least one member/manager. If you choose to list a CEO, their name and address must also be listed under the member/manager section.
        b. Please do not leave the agent for service of process blank. Often we receive forms with this field blank. We are not the agent for service of process or less you are paying an annual fee for registered agent services. The agent for service of process is the person that is responsible for receiving court documents if the corporation is ever sued. This person must have a California address. A corporation cannot be designated or less they are active and in good standing and they already have a 1505 on file with the California Secretary of State. Please verify this information before sending your document.
         c. If you do need a registered agent in California, we will appoint a registered agent for your company for an annual fee of $169.00 a year.         d. Type the form. If the Secretary of State cannot read your hand writing, they will not file your form. Simply open the PDF form and type right on it.

Step 4: Document is complete - When the state is finished with your document, they will issue a file stamped copy. Our runners' will pick up your document and bring it back to our office. We will immediately fax a copy of the filed document to you. We will return the file stamped copy via regular mail. FedEx is available for an additional fee or if you have your own FedEx account number.

  • Secretary of State form fee: $20.00
  • Secretary of State certified copy fee: $6.00 for one page. Add .50 for each attachment page
  • Service filing fee: $50.00 includes filing document, picking it up, faxing a copy, and forwarding the document via mail.
