Statement of Information (Corp)
Sun Document Filings can file Statement of Information forms with the California Secretary of State on an expedited basis. Click on the type of company you are trying to file a Statement of Information for:A Statement of Information (formerly called Statement of Officers) form includes the corporation's mailing and office address, the name of the CEO, Secretary, and CFO. In addition it includes the names of all the directors of the corporation, the agent for service of process, and a description of the business. A State of California Statement of Information must be filed regardless of whether the form is due if the corporation moves, elects new officers, adds or deletes directors, changes the name of the agent for service of process or the type of business.
All California domestic corporations must file an
initial Statement of Information within 90 days of filing the Articles of
Incorporation with the Secretary of State. All California domestic and foreign
corporations must file a Statement of Information on an annual basis; typically
by the end of the anniversary month of Incorporation or qualification. The
California Secretary of State will mail a renewal Statement of Information
directly to the corporation, not the agent for service of process/ Registered
Agent. If the company fails to notify the California Secretary of State of
address changes, the company will not receive a reminder notice to file. If a
corporation fails to file a Statement of Information on time, the corporation
will accrue a $250.00 late fee and the corporation may be suspended or
forfeited by the California Secretary of State. Therefore, if a company moves,
it must file a new Statement of Information to change its address.

As of 09/15/2008 - rush fees, procedures, and cutoff times have been changed by the California Secretary of State. Please read our California Rush Filings Policy before placing an order.
Due to budget cuts, the Secretary of State has cut staff and combined the statement of information counter with the UCC counter resulting in 20 business day turnaround filing times over the counter in Sacramento. If you mail the statement of information to the state, expect 40-50 business day turnaround times. Over the counter is still faster! There is a 24 hour rush option is you are in a hurry.

Prepare the form - Read the instructions provided by the
Secretary of State. Complete the form according to the instructions. Please do not leave a required
field blank or the Secretary of State will not file your document. IMPORTANT:
If you need to change only one item, for example the agent for service of
process or add an officer, you must complete the form in its entirety.

File stamped copy only or Certified copy? - We will automatically
return one file stamped copy upon filing. However, many of our clients require
a certified copy of the filing. The Secretary of State charges an additional
$6.00 to certify a one page Statement of Information. If you have an attachment
page, please add .50 for each page.
FAQ: Why would I need a certified copy and what is it? Many banks, insurance companies, courts, etc. will require a certified copy of the Statement of Information in order to open a bank account, close a loan or escrow, obtain health insurance or for legal evidence in court. A certified copy will have an certified page certifying that the document is true and correct and it will be stapled on top of your filed Statement of Information. The certified copy will also have a Secretary of State red seal that is often required by banks. In fact, some banks simple request a Statement of Information with a red seal.

Step: 5: Document is filed - If we receive your California Statement of Information by 2:00pm M-F, your Statement of Information will be recorded by 5:00PM! This means your Statement of Information will be given the file date your document was submitted on. Please note that even though we deliver your document in person to the California Statement of Information counter, the state does not process the document immediately. Once the document is submitted to the Secretary of State, the State will take around 20 business days to process your document or less you pay for 24 hour rush service. 20 business days maybe longer then desired, but keep in mind that if you mail the document to the state for processing, you will have to wait 2-3 months for it to be completed. From mid November to mid February, turnaround times will increase due to high volumes of work that the Secretary of State will have to process. This is due to companies trying to merge and dissolve before the end of the year to avoid additional taxes and new companies that are being formed at the beginning of the year.
Step 6: Document is complete - When the state is finished with your document, they will issue file stamped copy. Our runners' will pick up your document and bring it back to our office. We will immediately fax a copy of the filed document to you. We will return the file stamped copy via regular mail.
