Limited Liability Companies - Domestic or Foreign

A Statement of Information (formerly called Statement of Officers) form includes the corporation's mailing and office address, the name of the CEO, Secretary, and CFO. In addition it includes the names of all the directors of the corporation, the agent for service of process, and a description of the business. A State of California Statement of Information must be filed regardless of whether the form is due if the corporation moves, elects new officers, adds or deletes directors, changes the name of the agent for service of process or the type of business.

All California domestic corporations must file an initial Statement of Information within 90 days of filing the Articles of Incorporation with the Secretary of State. All California domestic and foreign corporations must file a Statement of Information on an annual basis; typically by the end of the anniversary month of Incorporation or qualification. The California Secretary of State will mail a renewal Statement of Information directly to the corporation, not the agent for service of process/ Registered Agent. If the company fails to notify the California Secretary of State of address changes, the company will not receive a reminder notice to file. If a corporation fails to file a Statement of Information on time, the corporation will accrue a $250.00 late fee and the corporation may be suspended or forfeited by the California Secretary of State. Therefore, if a company moves, it must file a new Statement of Information to change its address.

Domestic Stock - For Profit Corporations

Step 1: How fast do you need your document filed? Please click on the filing option your prefer and complete our order form. Then go to step 2 to download the required state form (Statement of Information)

Option1: 24 hour rush-the State will complete the document within 24 hours

Option2: Routine- the State will complete the document in 3 business days

Step 2: Select form and download PDF file - Choose form SI-200 if you are filing an initial Statement of Information or if you are changing information that was contained on your last Statement of Information. Choose form SI-200 N/C if you are filing your annual corporation Statement of Information and no information is being changed. Keep in mind, even if you are changing one thing like a zip code, you must use form SI-200 and complete the entire form. Domestic stock and foreign publicly traded corporations are required to file a Corporate Disclosure Statement (Form SI-PT) with the Secretary of State annually, within 150 days after the end of its fiscal year.

Step 3: Prepare the form - Read the instructions provided by the Secretary of State. Complete the form according to the instructions. Please do not leave a required field blank or the Secretary of State will not file your document. IMPORTANT: If you need to change only one item, for example the agent for service of process or add an officer, you must complete the form in its entirety.

Tips to avoid document rejection/resubmittal fees-PLEASE READ: Or skip to Step 4
a. All corporations must have a CEO, Secretary, CFO, and at least one Director. These fields must be completed. The CEO, Secretary, CFO, and the Director can be the same person.
b. Please do not leave the agent for service of process blank. Often we receive forms with this field blank. We are not the agent for service of process or less you are paying an annual fee for registered agent services. The agent for service of
process is the person that is responsible for receiving court documents if the corporation is ever sued. This person must have a California address. A corporation cannot be designated or less they are active and in good standing and they       already have a 1505 on file with the California Secretary of State. Please verify this information before sending your document.
c. If you do need a registered agent in California, we will appoint a registered agent for your company for an annual fee of $159.00 a year. Please contact us and we will e-mail you a new form with the registered agent information included. For more information about registered agents, please click here.
d. Type the form. If the Secretary of State cannot read your hand writing, they will not file your form. Simply open the PDF form and type right on it.

File stamped copy only or Certified copy? -
We will automatically return one file stamped copy upon filing. However, many of our clients require a certified copy of the filing. The Secretary of State charges an additional $6.00 to certify a one page Statement of Information. If you have an attachment page, please add .50 for each page.

FAQ: Why would I need a certified copy and what is it? Many banks, insurance companies, courts, etc. will require a certified copy of the Statement of Information in order to open a bank account, close a loan or escrow, obtain health insurance or for legal evidence in court. A certified copy will have an certified page certifying that the document is true and correct and it will be stapled on top of your filed Statement of Information. The certified copy will also have a Secretary of State red seal that is often required by banks. In fact, some banks simple request a Statement of Information with a red seal.

Step 4: Send the Statement of Information form and our order form- Print the form, sign it, and fax it to us along with our signed order form to 800-498-3611. Or if you have the full version of Adobe Acrobat, save the form and e-mail it to us at order@sundocumentfilings.com. If you have e-mailed or faxed the form during normal business hours and an hour has passed and we haven't called or e-mailed confirmation or receipt, please call us at 800-498-2822.

Step: 5: Document is filed - If we receive your California Statement of Information by 2:00pm M-F, your Statement of Information will be recorded by 5:00PM! This means your Statement of Information will be given the file date your document was submitted on. Please note that even though we deliver your document in person to the California Statement of Information counter, as a service company, we are not allowed to "stand and wait" for your document to be filed. No service company is allowed to stand and wait for your document and nobody can file your document faster. Once the document is submitted to the Secretary of State, the State will take around 3 business days to process your document or less you pay for 24 hour rush service. 3 business days maybe longer then desired, but keep in mind that if you mail the document to the state for processing, you will have to wait 5-7 weeks for it to be completed. From mid November to mid February, turnaround times will increase due to high volumes of work that the Secretary of State will have to process. This is due to companies trying to merge and dissolve before the end of the year to avoid additional taxes and new companies that are being formed at the beginning of the year.

Step 6: Document is complete - When the state is finished with your document, they will issue file stamped copy. Our runners' will pick up your document and bring it back to our office. We will immediately fax a copy of the filed document to you. We will return the file stamped copy via regular mail. FedEx is available for an additional fee or if you have your own FedEx account number.

FEES: Secretary of State form fee: $25.00
         Secretary of State certified copy fee: $6.00 for one page. Add .50 for
         each attachment page
         Service filing fee: $50.00 includes filing document, picking it up, faxing a
         copy, and forwarding the document via mail.

Domestic Non-Profit Corporations

Step 1: Select form and download PDF file - Choose form SI-100 only if your corporation is not a common interest development company. If your corporation is a common interest development company, you must file form SI-100 AND form SI-CID.

Step 2: File stamped copy only or Certified copy? - We will automatically return one file stamped copy upon filing. However, many of our clients require a certified copy of the filing. The Secretary of State charges an additional $6.00 to certify a one page Statement of Information. If you are also filing form SI-CID, there will be a certified copy charge of $6.00 for a total of $12.00 for both forms.
