CALIFORNIA SECRETARY OF STATE'S RUSH POLICY

As of 09/15/2008, any person that visits the California Secretary of State's office in Sacramento must either drop their document off and wait 7-10 business days for the document to be filed or pay a large rush fee for "same day rush" or 24 hour rush service. In the past, only service companies like ourselves were forced to drop our documents off and on behalf of our clients, pay large 24 hour rush fees; as of 09/15/2008, everybody must drop their documents off. EVERYONE MUST PAY SECRETARY OF STATE RUSH FEES TO FILE THEIR DOCUMENT ON A SAME DAY OR 24 HOUR RUSH BASIS. In addition, the Secretary of State has implemented stricter cut off times, added new documentation requirements, and has made filing a document on a rush basis even more difficult than before. In addition, the Secretary of State no longer provides ANY rush options (paid or otherwise) for corporate record retrievals. Plan ahead and allow a minimum of 7 business days to obtain corporate records. The only exception: Certificate of good standings can still be obtained on a paid rush basis.

SUN DOCUMENT FILINGS' RUSH POLICY

In order to use our rush service, you must agree to our rush policy. We have a right to amend our rush policy at anytime. Please do not place an order until you thoroughly understand our policy, the fees involved, the risk you take filing on a rush, the cutoff and turnaround times. If your document is rejected on a same day rush, you will lose your $750.00 state rush fee and our rush service fee. You will have to pay another $750.00 state rush fee and our rush service fee to resubmit your corrected document. If your document is rejected on a 24 hour rush, you will lose your $350.00 state rush fee and our rush service fee. You will have to pay another $350.00 state rush fee and our rush service fee to resubmit your corrected document. We NEVER guarantee a document is acceptable for filing. It is our client's sole responsibility to prepare and transmit an acceptable document for filing. FILE AT YOUR OWN RISK! NO EXCEPTIONS AND NO REFUNDS!

1) Cut off times are set in stone. We make three scheduled runs to the California Secretary of State's office every business day. The Secretary of State sets cutoff times and we are unable to change them to meet your needs. We must receive your document and payment before the cutoff time or the document will not be submitted until the next run to the state. Please take the time to understand cutoff times and when you will receive your documents back. Please plan ahead to avoid disappointment.

2) Documents submitted to the California Secretary of State on a 24 hour rush basis will require a state rush fee of $350.00 and rush service fee of $200.00 ($230.00 for foreign filings) plus the applicable state filing fee and our service filing fee. Same day rushes require an additional state rush fee of $750.00 and a rush service fee of $650.00. Rush fees are ALWAYS in addition to filing and service fees. State fees and services are never refundable regardless of the outcome. File at your own risk!

3) Any document that is submitted to the California Secretary of State on a 24 hour rush risks losing the state rush fee of $350.00 if the document is rejected by the state. Any document that is submitted to the California Secretary of State on a same day rush basis risks losing the state rush fee of $750.00. There are no state fee discounts for rejected documents. Please have an attorney or other professional review the document prior to submittal. If you are an attorney or other professional, understand that you are filing at your own risk. Sun Document Filings' does NOT UNDER ANY CIRCUMSTANCES GUARANTEE DOCUMENT ACCEPTANCE BY ANY STATE AGENCY.

4) After a document is rejected, if the client wants to resubmit the document to the State on a 24 hour rush basis, another $350.00 state fee and another $200.00 service rush fee ($230.00 for foreign filings)will apply. If the document is rejected a second time, the client understands that another $350.00 state fee and another $200.00 service rush fee ($230.00 for foreign filings) will apply, etc. After a document is rejected, if the client wants to resubmit the document to the State on a same day rush basis, another $750.00 state fee and another $450.00 service rush fee ($470.00 for foreign filings) will apply. If the document is rejected a second time, the client understands that another $750.00 state fee and another $450.00 service rush fee will apply ($470.00 for foreign filings), etc. There will be no discounts given to multiple rejections. It is the client's responsibility to contact the Secretary of State after a rejection for clarifications or explanations surrounding the rejection. Almost all rejections are accompanied by a Secretary of State rejection letter along with the initials and sometimes a phone number of the document examiner whom rejected the document. Sun Document Filings is not responsible for contacting the examiner for further clarification. Sun Document Filings cannot interpret the rejection letter or guarantee all changes made to the document will be acceptable upon resubmittal. The client always files at their own risk. However, we will do our best to assist you.

5) If you have sent an a same day rush order or 24 hour rush order and the cutoff time has passed and you haven't received either a fax return confirmation, an e-mail return confirmation, or a verbal confirmation of receipt, please contact us immediately. If you do not receive a fax return confirmation, an e-mail return confirmation, or a verbal confirmation of receipt, please do not assume that we have received it. Sun Document Filings is not responsible for orders we have not confirmed receipt because technical errors can occur. Please be available by phone for at least 1 hour after you place a rush order in case we have questions about your order or if there is problem with your payment information.

5) Legibility of documents. If the document is received via fax or e-mail, it is the client's responsibility to send a clear, legible document void of "black or white fax lines'. We do not recommend faxing a document for filing if it has been previously faxed. To clarify ...after the document is printed, it should only be faxed or scanned once. Do not print the document, fax it to your client for a signature, have them fax it back to you, then fax it to our office. 9 times out of 10, the document will be rejected by the Secretary of State for "poor quality".

All of our printers and fax machines print in laser quality. We highly suggest that our clients only use laser printers, use actual fax machines (not e-mail fax machines), and use new fax machines set on fine or superfine quality for the best results.

If a document is received in our office and the quality is questionable, we will notify the client and give them the opportunity to send a better quality document. We also do our best to screen documents for quality before submitting them to the CA Secretary of State's office. However, it is the CA Secretary of State's decision to accept or reject a document based on its quality. The client risks losing the $750.00/$350.00 rush fee and our $450.00/$200.00 rush fee plus service fee ($470.00/$230.00 for foreign filings) if the document is rejected for any reason, including quality issues. It is the client's responsibility to deliver to our office a document that complies with the Secretary of State's filing guidelines. We will not be responsible for fees lost because a document is rejected - regardless of the reason.

NOTE: We are not allowed to ask the state prior to submittal if a document's quality is acceptable. Please only send good quality documents.

6) Please wait to contact us or check the status of your order until after the time specified in the table above has passed. When a client calls before we have the document back, it stops the work flow. If an account specialist has to stop to check your order status then they cannot prepare orders to be sent out.

7) If more than an hour has passed when our rush turnaround time table above has stated you should receive the document and you have not received a fax or e-mail (your preference as specified when you placed the order), please contact our office immediately. Sometimes the e-mail address was spelled incorrectly or the fax number was entered with a number off. Although we do our best not to make mistakes, sometimes they happen. If you have not received your document, please contact within 4 business hours or less. We will be happy to resend the fax or e-mail. Please make sure to check your fax machine and/or spam folders prior to calling. The service fees paid are for filing the document in the time specified. A fax or e-mail is a courtesy and failure to receive one does not qualify for discounts or refunds.

8) For all same day rushes and 24 hour rushes, we require that the cardholder signs the order from. If an order form is received without a signature of the cardholder, the order may be delayed until we can secure a written signature. Please sign your order from before faxing or e-mailing the document - signature is required.

9) Please ask questions about rush filings prior to placing an order. Please do not assume anything about our policies. All of our polices are in writing on our web site. If you need clarification, please don't hesitate to contact us and we would be happy to discuss our policy with you.

10) Please do not ask for a discount for rush filings. We do not give discounts under any circumstances for rush filings. Please do not ask our account specialists for discounts. Both our office and the Secretary of State's office charge rush fees, per entity, per document, per filing, per submittal. Both our service and rush fees as well as the Secretary of State's filing and rush fees are not up for negotiation.

11) Cancellation policy for same day and 24 hour rush filings:

SAME DAY RUSH FILINGS - THERE ARE NO CANCELLATIONS ALLOWED OR REFUNDS FOR SAME DAY RUSH FILINGS. DO NOT SEND US A DOCUMENT FOR A SAME DAY RUSH OR LESS YOU WANT THE DOCUMENT FILED. NO EXCEPTIONS.

24 HOUR RUSH FILINGS - Limited cancellation policy.
If the order is cancelled before the cut off time there will be a $75.00 cancellation fee to cover our time to prepare the document, write checks, type counter forms, and to cover credit card convenience fees.

24 hour rush filing orders cannot be cancelled after the cutoff time has passed. See our cutoff time table above to determine the last time you can cancel. All times are PST. THERE ARE NO EXCEPTIONS. For example, our 11:15am run to the state includes documents received in our office between 9:00am and 11:00am. If the client wants to cancel the order, the deadline would be 11:00am PST. After the deadline has passed, orders cannot be cancelled under any circumstances. Do not place an order with our office if you are hesitant to file.
