No, we are neither. We are a document preparation and filing agency. We cannot give you legal or tax advice that is specific to your corporation or LLC.
Is there ever a time when I should contact an attorney or CPA?
Yes, if you have specific legal or tax question regarding your existing company or if you need legal help to decide whether to incorporate or form an LLC. We recommend that all our non attorney and CPA clients consult with an attorney and CPA prior to using our services.
We often get asked legal questions that we cannot answer. Some people are confused why we cannot answer the question; some get angry because they feel we are not helping them. We simply are not qualified to answer legal questions. Here is an example of a common question we are asked but cannot answer:
“I am starting a web based business. I live in California and my business partner lives in New York. The company only does business online. Do we need to form an LLC? Also, which state should the company be formed in based on the information I have provided?”
Let’s take the first question, “Do we need to form an LLC”? That is a pure legal question. In order to answer it, we would have to make a legal opinion on whether these particular individuals based on their business criteria need to form an LLC. By making that determination, we would have to verify all their tax information, determine their long term goals, make sure they are not better off forming a general partnership or a corporation and issue a legal opinion. This type of question is very common and we regret we cannot answer it for you. We are not legally qualified to answer this question. It will be up to you to determine if you need to a form an LLC or not. We suggest that you consult an attorney. An attorney will be able to look at all your circumstances and make a legal opinion based on the law. We cannot.
Now, the second question. We are being asked to legally determine the
advantages of filing in a particular state. There are many factors that go into
which state you are choosing to do business in. First of all, what are the tax
laws in California and New York? Will one state be a better fit for the type of
business that these two people are starting? So many variables are involved;
most of them legal or financial. This question is for an attorney or CPA.
